Distribution of Interim Dividends and Adjustment to the Conversion Price of Convertible Bonds
References are made to the announcements of China Pacific Insurance (Group) Co., Ltd. (the "Company" or "CPIC") dated 10 September 2025, 11 September 2025, 18 September 2025 and 10 June 2026 in relation to the issue of zero coupon convertible bonds due 2030 in an aggregate principal amount of HK$15,556,000,000 (the "Convertible Bonds") and the previous adjustment of the conversion price of the Convertible Bonds.
DISTRIBUTION OF INTERIM DIVIDENDS
The 2025 annual general meeting of the Company reviewed and approved the Proposal on Authorisation to the Board of Directors to determine the interim profit distribution plan for 2026, and authorised the Board to formulate and implement 2026 interim dividend, subject to satisfaction of conditions for profit distribution. On 27 August 2026, the Board passed a resolution to distribute the 2026 interim dividend to the shareholders of the Company.
The Company will distribute an interim dividend of RMB0.42per share (tax inclusive) (the "Interim Dividends") for the six months ended 30 June 2026. Holders of GDRs whose names appear on the register of GDR holders of the Company will be entitled to receive the Interim Dividends, which will be paid via Citibank, N.A, the Company's depositary, in accordance with the terms of the deposit agreement.
ADJUSTMENT TO THE CONVERSION PRICE OF HK$15,556,000,000 ZERO COUPON CONVERTIBLE BONDS DUE 2030
Pursuant to the terms and conditions of the Convertible Bonds, and having taken into account the Interim Dividend declared by the Company, the conversion price of the Convertible Bonds will be adjusted to HK$36.89 per share with effect from 16 September 2026, being the day immediately after the record date of H Shares.
