Inside information: Pihlajalinna negotiating an acquisition to expand its operations into Central Uusimaa

Pihlajalinna has been selected for further negotiations on the acquisition of the shares in Keski-Uudenmaan Työterveys Oy and Uudenmaan Työterveys Oy. The sellers are the Wellbeing Services County of Central Uusimaa and the Wellbeing Services County of Western Uusimaa, together with nine municipalities in the operating area. As a result of the transaction, approximately 24,000 individual occupational healthcare customers, approximately 80 professionals and 12 private clinics would transfer to Pihlajalinna.

The aggregate net debt-free purchase price of the shares would be EUR 19.5 million. The cash purchase price would be paid upon completion of the transaction and would be financed using the company's existing credit facility. In 2025, the combined revenue of the companies was approximately EUR 11.7 million. Pihlajalinna estimates that the revenue of the acquired business will at least double over the next five years and reach a profitability level in line with the company's medium-term targets.

"Our strategy is to grow in response to our partners' needs. Central Uusimaa and its surrounding municipalities are a new and natural area for Pihlajalinna to expand its network of private clinics. This acquisition would allow us to expand rapidly into the regional market. We plan to convert some of the clinics into full-service medical centres. This would strengthen our service offering in the region also for new occupational healthcare customers, our insurance company partners and private customers," says Tuomas Hyyryläinen, CEO and president of Pihlajalinna.

The business operations of the companies being acquired consist of providing occupational healthcare services to the seller organisations and other parties. In connection with the transaction, agreements would be made on the provision of occupational healthcare services to a total of approximately 16,000 individuals of certain organisations over the next five years.

Approximately 360,000 residents live in this new operating area for Pihlajalinna. The municipalities in the area, such as Hyvinkää, Sipoo and Tuusula, have a growing population with purchasing power. In addition, business activity in the region is expected to continue strengthening.

The completion of the transaction is subject to the finalisation of the contract negotiations and the procurement process, as well as obtaining the necessary regulatory approvals. The operations are expected to transfer to Pihlajalinna at the beginning of 2027.
