INITIATION OF SHARE BUYBACK PROGRAM
The results achieved in the first half of 2026 and the future growth prospects further strengthen management’s confidence in the Group’s ability to create value in the years ahead.
Pisa, 16 September 2026 – Pharmanutra S.p.A. (MTA; Ticker PHN), a company specializing in mineral-based nutritional supplements and medical devices for muscles and joints, announces the initiation of a share buyback program, pursuant to the authorization granted by the Ordinary Shareholders’ Meeting held on 27 April 2026.
The founding shareholders and management reaffirm their full confidence in the Company’s growth trajectory and in the strategic initiatives implemented to support the continued international expansion of the business. The uniqueness of the Group’s product portfolio, built on strong scientific evidence and continuous innovation, the robust growth of international markets, a rich new product launch roadmap across both established markets and new geographic areas, together with a sound financial position, further strengthen confidence in the Group’s revenue and profitability growth, which remain extremely positive for the year-end and for the years ahead.
In light of the current share price performance, which management believes does not adequately reflect either the Company’s underlying fundamentals or its future growth prospects, Pharmanutra intends to seize an attractive opportunity through the initiation of a share buyback program.
The share buyback program is intended to support value creation for all shareholders. In particular, it will enable the Company to repurchase PHN shares whenever their market price, including as a result of exogenous factors not directly related to the Company’s operating performance, does not fully reflect the Company’s intrinsic value. From this perspective, the program represents a strategic lever and an attractive investment opportunity, to be utilised for the purposes permitted under applicable laws and regulations.
Treasury share purchases under the program will be executed in accordance with the terms and limits established by the above-mentioned shareholders’ resolution, Article 5 of Regulation (EU) No. 596/2014
(Market Abuse Regulation), Article 3 of Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016, and any other applicable laws and regulations. In particular:
the program provides for the purchase of up to 20,000 ordinary shares of the Company, with no par value, for a maximum total amount of Euro 1,440,000;
purchases shall be executed at a price no higher than the greater of the price of the last independent transaction and the highest current independent bid on the trading venue where the purchase is carried out. In any event, the price per share may not exceed by more than 10%, nor be lower by more than 20%, the reference price of the Company’s shares recorded on the market trading day preceding each individual purchase;
purchases shall be carried out for volumes not exceeding 25% of the average daily trading volume of PHN shares on the relevant trading venue, calculated on the basis of the average daily trading volume recorded during the 20 trading days preceding each purchase;
the share buyback program may be carried out within 18 months from the date of the resolution adopted by the Shareholders’ Meeting on 27 April 2026.
Intermonte SIM S.p.A. has been appointed as the financial intermediary in charge of executing purchases under the share buyback program. The Company will provide periodic disclosure of transactions carried out under the program in accordance with the timing and procedures set out in the applicable regulations. Any amendments to the program will be promptly communicated to the market.
As of the date of this press release, Pharmanutra holds 105,794 treasury shares, corresponding to 1.093% of its share capital.
