Share dealing platforms are now registering instructions to accept Glenstone's Offer for AIRE ahead of this week's decision by AEW UK REIT plc ("AEWU") on its possible competing offer
Share dealing platforms are now able to receive acceptance instructions from clients holding AIRE Shares. AIRE Shareholders who wish to accept the 70 pence per AIRE Share on offer from Glenstone must act for themselves to instruct their share dealing platform or nominee. AEW UK REIT plc ("AEWU") must either announce a firm offer or withdraw its possible offer for AIRE this week, by Friday 28 August 2026 ("AEWU's PUSU Deadline").
A substantial proportion of AIRE Shares are held through retail nominee and share-dealing platforms. Glenstone understands that a number of those platforms will aggregate and submit client acceptances only very late in the Offer timetable in time to count towards the Acceptance Condition, before 1.00 p.m. on the Unconditional Date, being 4 September 2026.
Accordingly, the acceptance figures reported by Glenstone from day to day reflect only acceptances which have actually been aggregated and submitted by the share-dealing platforms and received by the Receiving Agent at the relevant reporting time.
AIRE's retail investors can now register their instructions to accept Glenstone's 70 pence per Share cash Offer with their share dealing platforms. Whilst all AIRE Shareholders are strongly encouraged to accept Glenstone's Offer as soon as possible, AIRE Shareholders who have been awaiting AEWU's PUSU Deadline before accepting Glenstone's Offer should now prepare to act and instruct their share dealing platforms, immediately following AEWU's announcement this week.
AEWU's Possible Offer - PUSU deadline approaching
AEWU announced the terms of a possible all-share offer for AIRE on 16 July 2026 and now has until 5.00 p.m. on Friday 28 August 2026 either to announce a firm intention to make its offer or to confirm that it has withdrawn its possible offer for AIRE.
Glenstone's Offer is open for acceptances for less than one week following AEWU's PUSU deadline and will remain open until 1.00 p.m. on 4 September 2026, whether AEWU announces an all-share offer for AIRE or withdraws its possible offer.
AIRE Shareholders who have been waiting on AEWU's announcement before accepting the 70 pence per AIRE Share currently on offer from Glenstone must therefore act decisively in the next few days.
Action is required by AIRE Shareholders who wish to accept the 70 pence per AIRE Share in cash offered to them by Glenstone
Glenstone's Offer of 70 pence in cash for each AIRE Share is available for acceptance by all AIRE Shareholders. It is a contractual takeover offer under the City Code on Takeovers and Mergers and Part 28 of the Companies Act (requiring Acceptances) and not a Scheme (which is implemented by a shareholder vote). Therefore, any AIRE Shareholder who wishes to accept the Offer for their AIRE Shares must REGISTER THEIR INSTRUCTION TO ACCEPT THE OFFER with their share dealing platform or nominee, as applicable.
Shareholders who do not register their acceptances cannot expect to receive the consideration of 70 pence per AIRE Share through the acceptances of other Shareholders AND MUST ACT for themselves, accordingly.
Share dealing platforms are operating internal deadlines for the registration of instructions from accepting AIRE Shareholders, who must act well in advance of the Offer's 4 September 2026 deadline
A substantial proportion of AIRE Shareholders are retail investors who hold their AIRE Shares via share dealing platforms such as Hargreaves Lansdown, Interactive Investor and AJ Bell. Glenstone understands that Shareholders are now able to provide instructions to most share dealing platforms, who will then register their clients' acceptances with the Receiving Agent immediately prior to 1.00 p.m. on the Unconditional Date, being Friday 4 September 2026.
Glenstone has also been made aware that certain share dealing platforms are operating to internal deadlines which fall earlier than 4 September 2026, during the week beginning 31 August 2026. AIRE Shareholders are encouraged to contact their share dealing platform for further information on internal procedures and deadlines. All AIRE Shareholders should prepare to act in time to register their instruction to ACCEPT, in order to be eligible to receive the 70 pence per Share available to them under Glenstone's Offer.

Glenstone's increased final* cash Offer of 71.4 pence per AIRE Share has now been reduced to 70.0 pence per AIRE Share following the payment by AIRE of a dividend of 1.4 pence per AIRE Share on 15 August 2026 ("Fourth Quarterly Dividend"). AIRE Shareholders who accept the Offer and who held their AIRE Shares on 31 July 2026 (being the record date for the Fourth Quarterly Dividend) are entitled to retain the Fourth Quarterly Dividend in full under the terms of the Offer.
