Induct AS – Resolution to increase the share capital for settlement of underwriting fee and mandatory notification of trade

Reference is made to the previous stock exchange announcements published by Induct AS (the "Company") regarding the partially underwritten rights issue of between 16,666,666 and 22,222,222 new shares (the "Offer Shares") in the Company, each with a nominal value of NOK 0.10, at a subscription price of NOK 0.90 per share (the "Subscription Price"), raising gross proceeds of between NOK 15 million and NOK 20 million (the "Rights Issue"), of which an underwriting consortium (jointly, the "Underwriters") agreed to underwrite subscription of Offer Shares for gross proceeds of NOK 15 million.

Pursuant to, and subject to the terms and conditions of the underwriting agreements entered into between the Company and the Underwriters (the "Underwriting Agreements"), each of the Underwriters are entitled to an underwriting fee of 14% of the underwriting obligation received as new shares in the Company issued at the same Subscription Price as in the Rights Issue (the "Underwriting Commission Shares"), which is payable upon completion of the Rights Issue.

On the background described above, the board of directors of the Company has today resolved to issue 2,333,329 Underwriting Commission Shares, each with a nominal value of NOK 0.10, at the Subscription Price, to be paid by set-off of the Underwriters' claim pursuant to the Underwriting Agreements. The share capital increase was resolved pursuant to a board authorisation resolved by the extraordinary general meeting on 16 July 2026.

The following close associates of primary insiders of the Company have subscribed for Underwriting Commission Shares as set out below:

· Jarah Invest AS, a company closely associated with the board member of the Company, Jan Herud, has subscribed for 466,666 Underwriting Commission Shares.

· Solvik Holding AS, a company closely associated with the chairperson of the board of the Company, Ole Jørgen Karud, has subscribed for 46,666 Underwriting Commission Shares.

Following the registration of the share capital increase pertaining to the Underwriting Commission Shares, the Company's share capital will be NOK 5,030,904.20 divided into 50,309,042 shares, each with a nominal value of NOK 0.10.
