Monivent AB (“Monivent” or the “Company”) announces that the Company’s incoming CEO, Tobias Tullberg, through his wholly owned company Liamed AB, has acquired 1,000,000 shares in Monivent over the market. In addition, Liamed AB has acquired 2,000,000 warrants of series TO3 from an existing shareholder in a block trade outside the market.
The shares were acquired at an average price of SEK 0.162 per share, corresponding to a total consideration of approximately SEK 162,000.
The warrants were acquired from the existing shareholder Kompany 42 ApS at a price of SEK 0.01 per warrant. Kompany 42 ApS has been granted an exemption from its lock-up undertaking to sell a portion of its warrants in order to avoid potentially, in connection with the exercise of warrants of series TO3, exceeding the 30 percent ownership threshold, that would trigger a mandatory bid obligation on the Company.
Each warrant of series TO3 entitles the holder to subscribe for one new share in Monivent. The exercise price will correspond to 70 percent of the volume-weighted average price of the Company’s share during the applicable measurement period, subject to a minimum of SEK 0.13 and a maximum of SEK 0.19 per share. Warrants of series TO3 were issued in connection with the directed issue of units and offset issue of units the Company conducted in May 2026. The warrants are not traded on Spotlight Stock Market. The full terms and conditions of the warrants have previously been published by the Company.
