Oslo, 21 July 2026: Reference is made to the stock exchange notices made by HydrogenPro ASA ("HydrogenPro" or the "Company") on 13 July 2026 regarding the commencement of the subscription period in the subsequent offering (the "Subsequent Offering") of up to 12,762,444 new shares in the Company (the "Offer Shares") at a subscription price of NOK 0.50 per share, and regarding the intention of certain primary insiders of the Company to subscribe for Offer Shares in the Subsequent Offering.
Upon consummation of the Subsequent Offering, the following primary insiders of the Company will receive Offer Shares:
* Jardis Invest AS, a close associate of Jarle Dragvik, Chief Executive Officer and primary insider of the Company: 33,756 Offer Shares.
* Martin Thanem Holtet, Chief Financial Officer and primary insider of the Company: 1,232 Offer Shares.
* Jan-Henrik Kuhlefelt, General Manager HydrogenPro Tianjin and primary insider of the Company: 8,225 Offer Shares.*
Please see the attached notification forms for further information. The attached initial notification forms only reflect over-subscriptions without subscription rights. Because subscriptions made by the abovementioned persons by exercising subscription rights have been made previously, as described in the Company's stock exchange notices, the figures in the initial notification forms differ from the total allocation figures set out above.
*In the Company's stock exchange notice dated 20 July 2026, it was stated that Jan-Henrik Kuhlefelt had exercised 3,141 subscription rights to subscribe for Offer Shares. The correct figure is 2,316 subscription rights, and this has been corrected in the attached amendment form.
The Company has appointed Clarksons Securities AS as manager in the Subsequent Offering.
Wikborg Rein Advokatfirma AS acts as legal counsel to the Company.
