Holding(s) in Company & Update on Hg Shareholding
On 4 June 2026, HgCapital Trust plc ("HgT" or the "Company") announced the intention of Hg, the manager of HgT, to make an increased strategic investment in HgT, with an active programme to increase the ownership of Hg partners and employees (the "Hg Partners and Employees") and the Hg balance sheet (the "Hg Balance Sheet") from their existing shareholding of ~6% to over 15%, over the medium term, through on-market purchases.
Further to that announcement, HgT today provides an update on how the Hg shareholding will be notified to the market going forward and a corresponding notification of major holdings as at 8 September 2026.
Position on 4 June 2026
Hg Partners and Employees in aggregate held ~6% of the voting rights in HgT, of which ~5.3% was held by certain Hg individuals with influence over the investment activities of the Hg Balance Sheet. The Hg Balance Sheet itself did not own any shares in HgT.
Ongoing disclosure of Hg holdings
Further to the announcement on 4 June 2026, the Hg Balance Sheet has started to build a stake in HgT, making its first purchase on 12 June 2026. In accordance with the FCA's Disclosure and Transparency Rules sourcebook ("DTR"), the voting rights held by certain Hg individuals (the "Controlling Individuals") and the Hg Balance Sheet (together, the "Concert Party") are aggregated for the purposes of major shareholding notifications under DTR 5, pursuant to an agreement between the Concert Party relating to a common policy for the management of HgT.
Going forward, HgT will notify the market whenever the Concert Party's aggregated holding crosses a reportable threshold. Accordingly, the TR-1 filing below has been provided in relation to transactions in the shares of the Company.
Separately, HgT will continue to report the total of all Hg holdings, including those of Hg Partners and Employees not included in the Concert Party, in the Company's annual report, in-line with current practice.
