HAFNIA LIMITED: Mandatory notification of trade - Share lending in connection with Offering

Reference is made to the stock exchange announcement published by Hafnia Limited ("Hafnia" or the "Company", OSE: HAFNI, NYSE: HAFN) earlier today regarding the completion and pricing of the offering of ordinary shares (the "Offer Shares") in the Company (the "Offering").
In connection with the Offering, the Company's major shareholder, BW Group Limited (the "BW Group"), has entered into a share lending agreement with the Company and Fearnley Securities AS, Pareto Securities AS, Arctic Securities AS and Clarksons Securities AS (as managers in the Offering) in respect of the lending by BW Group of 35,488,875 ordinary shares of the Company (representing approximately 7.10% of the Company’s currently issued and outstanding ordinary shares of the Company). The share lending agreement has been entered into for the purpose of facilitating delivery-versus-payment (DvP) settlement of the Offer Shares allocated to investors in the Offering.
BW Group is a closely associated company to Andreas Sohmen-Pao, primary insider and the chairman of the Company. Please see the attached form for further information.
