PRESS RELEASE GUIDOTTI SHIPS’ FLEET EXPANDS, ACQUISITION OF THE “VINCENZO I” COMPLETED Milan, 27 August 2026 – Guidotti Ships S.p.A. (“Guidotti Ships” or the “Company”), a company specializing in offshore maritime services in the Central Adriatic, operating in the sectors of offshore support, marine survey, pollution response, and seasonal passenger transport, listed on Euronext Growth Milan (ticker code: GDT), announces that its subsidiary Guidotti Research S.r.l. (previously Guidotti Shipping S.a.s. di Domenico Guidotti) has completed the acquisition of the vessel “Vincenzo I,” as previously disclosed to the market during the IPO. The “Vincenzo I” - with an overall length of 28.42 meters and a beam of 6.83 meters - will be completely converted in accordance with the SPS Code (Special Purpose Ship Code) and will be certified with RINA’s RecOil class notation, with the capacity to accommodate up to thirty specialized professionals on board. The main operational activities planned for the vessel include: • Transportation of industrial technical personnel; • Continuous offshore operations, available 24 hours a day, with pollution control and oil recovery capabilities; • Marine research, with specialized equipment and facilities. The vessel will feature cabins and laboratories that can be configured according to the mission and the systems carried on board at any given time. The vessel will be authorized for national service beyond 50 miles from the coast and for international deployment. The total purchase price is EUR 500,000 and has been paid in full as of today. For the purpose of providing financial coverage for the transaction, Guidotti Ships S.p.A., in its capacity as sole shareholder, has provided its subsidiary Guidotti Research S.r.l. with an interest-bearing intra-group shareholder loan in the amount of EUR 200,000, while the remaining portion of the investment was covered through the use of the subsidiary’s own funds made available by the company via a capital contribution1. “With the acquisition of the ‘Vincenzo I,’ we are continuing the fleet expansion plan announced at the time of our listing on Euronext Growth Milan,” said Domenico Guidotti, Chairman and CEO of Guidotti Ships. “The conversion in accordance with the SPS Code and RINA’ s RecOil class notation will allow to expand the group’ s capacity in high-value-added offshore services—from the transport of industrial technicians to marine research and pollution control activities—thereby strengthening Guidotti Ships’ position alongside its industrial and institutional partners, both in Italy and abroad.” *** 1 Pursuant to the “Procedure for Related-Party Transactions,” approved by the Company’s Board of Directors on July 21, 2026 (“OPC Procedure”), Guidotti Research S.r.l. qualifies as a related party of the Company, as it is a wholly-owned subsidiary of the Company.
