GRANTING OF POWERS TO THE CHAIRMAN OF THE BOARD OF DIRECTORS AND APPOINTMENT OF THE LEAD INDEPENDENT DIRECTOR
Colleferro (Rome), July 6, 2026 – Following up on the communication dated April 29, 2026, the Board of Directors of Avio S.p.A. (“Avio” or the “Company”), meeting today, resolved to grant powers to the Chairman, Dr. Roberto Italia, to be exercised in coordination with the Chief Executive Officer, (i) concerning the management of institutional relations functional to the development and consolidation of the Company's business in the space and defense sectors in international markets, as well as (ii) functional to the management and promotion of operational strategies for business development in international markets (with particular regard, due to its strategic centrality, to the market of the United States of America).
It was also decided that the Chairman and the Chief Executive Officer shall jointly implement management and operational strategies in international markets (with particular regard, due to its strategic centrality, to the market of the United States of America).
In the same meeting, therefore, the Board of Directors proceeded to appoint the Lead Independent Director in the person of independent director Raffaele Cappiello, as provided for by recommendation 13 of the Corporate Governance Code.
The Lead Independent Director will remain in office until the expiry of the current Board of Directors and, therefore, until the Shareholders' Meeting convened for the approval of the financial statements for the year ending December 31, 2028.
