Grant of Share Options under the Sharesave Scheme
Pursuant to an invitation issued to all employees on 20 August 2026, the Company granted options over ordinary shares of 10 pence each in the Company on 17 September 2026 under the Cohort plc 2025 Savings Related Share Option Scheme (SAYE) to Andrew Thomis, Chief Executive, and Simon Walther, Finance Director, as follows:

The SAYE options are made pursuant to a three-year savings contract and the exercise price, which is discounted by 20%, is based on the share price at close of business on 19 August 2026, being the dealing day immediately prior to the date of invitation to apply for options.The savings contract may be cancelled at any time during the three-year period.
