Grant of Share Incentives to PDMR

Braemar Plc (LSE: BMS), a leading provider of expert chartering, investment and risk management advice to the shipping and energy markets, announces that the following grants of nil-cost options were made under the Braemar Restricted Share Plan (the "RSP") over the Company's ordinary shares of 10p to the Company's Group Chief Executive Officer, Grant Foley, on 13 August 2026:

There is no consideration for the grant of the awards and the exercise price is nil. The awards will vest on 13 August 2029, subject to the rules of the RSP and the performance underpin as determined by the Remuneration Committee. Any shares acquired under the RSP are subject to a further two-year holding period.

In addition, the Company also granted the following awards over ordinary shares of 10p each under the Company's Deferred Bonus Plan (the "DBP") on 13 August 2026 to Grant Foley in relation to his  annual bonus in respect of the financial year ended 28 February 2026:
