Grant of Awards under Long-Term Incentive Plan PDMR Dealing
Eden Research plc(AIM: EDEN), a leader in sustainable biopesticide and biocontrol technology, confirms the grant of 33,737,659 options over new Ordinary Shares under the Company’s Long Term Incentive Plan ("LTIP") to its members of staff (“the Options”)
Of these 7,101,189 Options have been awarded toSean Smith, Chief Executive Officer and 5,334,928 have been awarded to Alex Abrey, Chief Finance Officer (together the "Executives"). A further 21,301,542 Options have been issued to other employees.
The grant is in respect of CY2025 in order to ensure continuity of long term incentive and is at a strike price of 1p each.
Performance conditions
-
50% of the grant is subject to an absolute Total Shareholder Return –(share price plus dividends) condition:
- This vests in a straight line with 20% of this portion of award vesting at a threshold of 4.36p and increasing up to full vesting at 8.72p;
- Share price test is volume weighted average for the final 20 trading days of the two year performance period ending on second anniversary of grant;
- 50% of the grant is subject to revenue performance target to 31 March 2028 (aggregate audited revenue for FY2027 and FY2028)
Further terms
- Awards have a ten year life – i.e. a seven year exercise window;
- Following exercise, 50% of the awards are subject to 6 month holding period;

Cedroz is registered for sale on two continents and Eden's commercial collaborator, Eastman Chemical, is pursuing registration and commercialisation of this important new product in numerous countries globally.
Eden's seed treatment product (approval expected in 2026),Ecovelexwas developed to safely tackle crop destruction caused by birds - a major cause of losses in maize and other crops.Ecovelex works by creating an unpleasant taste or odour that repels birds, leaving the seeds safely intact and the birds unaffected and free to find alternative food sources.The product is based on Eden's plant-derived chemistry, registered in the EU, US and elsewhere, and formulated using Eden's Sustaine® microencapsulation system.
Eden'sSustaine®encapsulation technology is used to harness the biocidal efficacy of naturally occurring chemicals produced by plants (terpenes) and can also be used with both natural and synthetic compounds to enhance their performance and ease-of-use. Sustaine microcapsules are naturally-derived, plastic-free, biodegradable micro-spheres derived from yeast. It is one of the only viable, proven and immediately registerable solutions to the microplastics problem in formulations requiring encapsulation.
