Gradientech carries out a rights issue of approximately SEK 55 million

The Board of Directors of Gradientech AB (publ) (“Gradientech” or “the Company”) decided on 6 August 2026 to carry out a new issue of shares with preferential rights for existing shareholders of approximately SEK 55 million (the “Rights Issue”). The Rights Issue is supported by subscription commitments from existing shareholders totalling approximately SEK 42 million, representing approximately 75 percent of the Rights Issue.

Gradientech has spent the past decade turning a novel microfluidic method into a diagnostic system for daily clinical use. The Company is now entering a phase focused on scale, under the leadership of Sumi Thaker, who recently was appointed CEO and brings executive experience from bioMérieux and Thermo Fisher Scientific. The priorities are clear: broaden the European installed base, invest in the robustness and support of the QuickMIC® platform, and prepare for entry into the US market. The Rights Issue is intended to finance this next stage of the journey.

Terms for the Rights Issue

Those registered as a shareholder on the record date of 13 August 2026, has a preferential right to subscribe for ordinary shares in the Rights Issue in relation to the number of ordinary shares held on the record date. One (1) existing share in the Company entitles to one (1) subscription right. Six (6) subscription rights entitle to subscribe for one (1) new share.

The subscription price is SEK 8.75 per new share. If the offer is fully subscribed, the number of shares in the Company will increase from 37,950,359 shares to 44,275,418 shares, corresponding to a dilution effect of approximately 14 percent. Subscription of shares shall take place during the period from and including 17 August 2026 to and including 31 August 2026. The Board has the right to extend the subscription and payment period. Aqurat Fondkommission AB acts as an issuing agent in connection with the Rights Issue.

Subscription commitments

In connection with the Rights Issue, the Company has received subscription commitments totalling approximately SEK 42 million, corresponding to approximately 75 percent of the Rights Issue. No compensation is paid for submitted subscription commitments.
