GPI: DEED OF MERGER BY INCORPORATION OF TESI ELETTRONICA E SISTEMI
INFORMATIVI S.P.A. S.B. FILED WITH THE COMPANIES' REGISTER

Further to previous disclosures, most recently on 7 July 2026, Gpi S.p.A. ("Gpi" or the "Company"), a leading provider of software and services supporting the digital transformation of healthcare, listed on the Euronext Milan Tech Leaders market, announces that, as of today, the last of the required registrations of the deed of merger by incorporation of Tesi Elettronica e Sistemi Informativi S.p.A. S.B. into Gpi S.p.A. has been completed with the Companies' Register of Trento.
Accordingly, pursuant to Article 2504 -bis of the Italian Civil Code, the legal effects of the merger shall take effect as of 1 August 2026. The tax and accounting effects shall instead be backdated to the first day of the financial year in progress at the time the legal effects of the merger occur.
