GN HEARING BUSINESS ACQUISITION: PUBLICATION OF THE VALUATION REPORT AND
ISSUE PRICE FAIRNESS OPINION
Milan, October 8th, 2026 – Amplifon (EXM; Bloomberg/Reuters ticker: AMP:IM/AMPF.MI) , global leader in hearing solutions and services, announces that, in relation to the issuance of 56,000,000 new ordinary shares required to satisfy the share component of the consideration for the acquisition of the Hearing business from GN Store Nord S/A proposed to Amplifon’s Shareholders Meeting , the following documents were made available to the public as of today at the Company’s registered office, on the authorized storage system NIS -Storage (www.emarketstorage.com) and on the Company’s website https://corporate.amplifon.com (Governance section):
- the opinion on the fairness of the Issue Price issued by the independent auditor KPMG S.p.A.
pursuant to Article 2441, paragraph 6, of the Italian Civil Code and Article 158 of the Italian Consolidated Financial Act (TUF); and
- the valuation report prepared by the independent expert Prof. Andrea Amaduzzi pursuant to Article 2343 -ter, paragraph 2, letter (b), of the Italian Civil Code.
