GENERALFINANCE S.P.A. – BOND “UP TO EURO 100,000,000 SENIOR UNSECURED FIXED
RATE NOTES DUE OCTOBER 2030” (ISIN: IT0005730020 )
Deliberata l’emissione di un prestito obbligazionario senior, non convertibile e non subordinato, per un importo pari a euro 50 milioni con possibilità di incremento di ulteriori massimi euro 50 milioni ; la Central Bank of Ireland ha approvato il Prospetto Informativo relativo alle Obbligazioni .
Milano, 23 settembre 2026 - Generalfinance S.p.A. intermediario finanziario specializzato nel factoring e quotato sul segmento Euronext STAR Milan di Borsa Italiana (la “ Società ”), rende noto che la Società ha determinato di procedere con l’emissione di un prestito obbligazionario non garantito, non convertibile e non subordinato a tasso fisso, per un controvalore pari ad Euro 50 milioni, con possibilità di incremento di ulteriori massimi Euro 50 m ilioni mediante l’esercizio di un’opzione di incremento da comunicare mediante apposito avviso da pubblicare da parte della Società entro due giorni di mercato aperto prima della chiusura del periodo di offerta, con scadenza a ottobre 2030, destinato sia a l pubblico indistinto in Italia sia ad investitori qualificati in Italia e all’estero .
In data odierna , la Central Bank of Ireland ha approvato il prospetto informativo (il “ Prospetto Informativo ”) relativo all’offerta pubblica di sottoscrizione delle obbligazioni rivenienti dal prestito obbligazionario denominato “ Up to Euro 100,000,000 Senior Unsecured Fixed Rate Notes due October 2030 ” (il “Prestito Obbligazionario ” e le relative obbligazioni, le “Obbligazioni ”).
Si comunica inoltre che a seguito dell’approvazione del Prospetto Informativo, la Società ha richiesto alla Central Bank of Ireland di trasmettere e notificare il Prospetto Informativo - unitamente al certificato di approvazione e agli ulteriori documenti previsti dalla normativa applicabile ai fini della procedura di “ passporting ” - alla Commissione Nazionale per le Società e la Borsa (la “ CONSOB ”), in qualità di autorità competente in Italia, ai fini dell’offerta al pubblico delle Obbligazioni in Italia.
Non appena la procedura di “ passporting ” verrà completata, il Prospetto Informativo sarà messo a disposizione del pubblico sul sito internet della Società (https://generalfinance.net/ ) e sul sito internet di Euronext Dublin (https://live.euronext.com/ ). Copia cartacea del Prospetto Informativo potrà essere richiesta gratuitamente presso la sede legale della Società ( Via Giorgio Stephenson 43/A, 20157 , Milano (MI) - Italia).
Si comunica inoltre che Borsa Italiana S.p.A. (“ Borsa Italiana ”), con provvedimento in data 21 settembre 2026 , ha ammesso le Obbligazioni a quotazione sul Mercato Telematico delle Obbligazioni di Borsa Italiana (il “ MOT ”).
Inoltre, si prevede che, in sede di emissione, le Obbligazioni saranno ammesse alla quotazione e negoziazione presso il mercato regolamentato ( Regulated Market ) dell’ official list (Official List ) dell’ Irish Stock Exchange – Euronext Dublin (Euronext Dublin ). Il Prestito Obbligazionario avrà un tasso di interesse minimo almeno pari al 5,25 % su base annua, con pagamento semestrale.
Le Obbligazioni verranno emesse per un valore nominale pari a Euro 1.000,00 ciascuna, ad un prezzo di emissione del 100% del proprio valore nominale e verranno offerte per la sottoscrizione attraverso la piattaforma del Mercato Telematico delle Obbligazion i – MOT organizzato e gestito da Borsa Italiana S.p.A..
Il Prestito Obbligazionario potrà essere rimborsato anticipatamente in determinate ipotesi secondo termini e condizioni stabiliti dalle Terms & Conditions delle Obbligazioni , contenute nel Prospetto Informativo. Le Obbligazioni saranno assistite da diritti economici legati al pagamento degli interessi e al rimborso in linea capitale del prestito e diritti amministrativi connessi alla gestione del credito. Le Obbligazioni saranno regolate dal diritto italiano.
Le risorse finanziarie rivenienti dall’emissione del prestito obbligazionario saranno destinate per finanziare l'attività aziendale generale della Società (cosiddetto general corporate purposes ), ivi incluso il finanziamento del capitale circolante, il supporto all'operatività corrente e il rafforzamento e/o ottimizzazione della struttura finanziaria.
Equita SIM S.p.A. svolgerà il ruolo di Sole Bookrunner con riferimento all’offerta delle Obbligazioni. Equita SIM S.p.A. agirà altresì quale Placement Agent e intermediario incaricato di esporre sul MOT le proposte di vendita delle Obbligazioni durante il periodo di adesione.

GENERALFINANCE S.P.A. – “UP TO EURO 100,000,000 SENIOR UNSECURED FIXED RATE
NOTES DUE OCTOBER 2030” BOND (ISIN: IT0005730020 )
Generalfinance has resolved to issue a senior, non -convertible and unsubordinated bond for an amount of Euro 50 million with an upsize option to increase it by up to Euro 50 million ; the Central Bank of Ireland has approved the Prospectus for the Notes .
Milan, 23 September 2026 - Generalfinance S.p.A. , a financial intermediary specialized in factoring and listed on the Euronext STAR Milan segment of Borsa Italiana (the “ Company ”), informs that it has resolved to issue an unsecured, non -convertible and unsubordinated fixed -rate bond for an amount of Euro 50 million with an upsize option to increase it by up to Euro 50 million to be set out in an upsize option notice and published by the Company n o later than the second business day prior to the offer period end date, maturing in October 2030, intended for both the general public in Italy and qualified investors in Italy and abroad.
As of today, the Central Bank of Ireland approved the prospectus (the “Prospectus”) for the public subscription offer for the notes deriving from the bond “Up to Euro 100,000,000 Senior Unsecured Fixed Rate Notes due October 2030 ” (the “ Bond ” and the relevant notes, the “ Notes ”).
It should also be noted that , following the approval of the Prospectus, the Company has requested the Central Bank of Ireland to notify the Commissione Nazionale per le Società e la Borsa (“ CONSOB ”), the competent authority in Italy, for the purposes of the public offering of the Bonds in Italy , and to submit to CONSOB the Prospectus, the approval certificate and the other documents provided for the “ passporting ” procedure in Italy in accordance with applicable law.
Once the “passporting” procedure will be completed, t he Prospectus will be made available to the public on the Company's website (https://generalfinance.net/ ) and on the Euronext Dublin website (https://live.euronext.com/ ). A paper copy of the Prospectus will be available free of charge upon request at the registered office of the Company ( Via Giorgio Stephenson 43/A, 20157 , Milan (MI), Italy).
In addition, Borsa Italiana S.p.A. (“ Borsa Italiana ”), with order dated 21 September 2026, has admitted the Notes to listing on the Mercato Telematico delle Obbligazioni of Borsa Italiana (the “ MOT ”). Furthermore, it is expected that, upon issuance, the Bonds will be admitted to listing and trading on the Regulated Market of the Official List of the Irish Stock Exchange – Euronext Dublin (Euronext Dublin). The Bonds will accrue at a minimum interest rate of 5.25% per annum, payable semi -annually.
The Bonds will be issued with a nominal value of €1,000.00 each at an issue price of 100% of the principal amount and will be offered for subscription through the Mercato Telematico delle Obbligazioni (electronic bond trading platform) organised and managed by Borsa Italiana S.p.A..
The Bonds may be redeemed in advance in certain circumstances as provided under the Terms and Conditions of the Bonds, outlined in the Prospectus. The Bonds will be backed by economic rights linked to the payment of interest, the repayment of the principal of the bond, and administrative rights relating to the management of the credit. The Bonds will be governed by Italian law.
The financial resources resulting from the issue of the bond will be used for general corporate purposes, including working capital requirements, ongoing business operations, and the strengthening and/or optimization of its financial structure.
EQUITA SIM S.p.A. will act as Sole Bookrunner with regard to the offering of the Notes. EQUITA SIM S.p.A. will also act as Placement Agent in order to display the Notes for sale on the MOT during the subscription period .
