GEFRAN PERFEZIONA L’ACQUISIZIONE DI NOVUS , LEADER BRASILIANO NELLE
SOLUZIONI PER L'AUTOMAZIONE INDUSTRIALE
Provaglio d’Iseo (BS), 1° ottobre 2026 - Gefran S .p.A., azienda specializzata nella progettazione e produzione di sensori, componenti e soluzioni per l’automazione e il controllo dei processi industriali, annuncia il perfezionamento dell’acquisizione dell’ intero capitale di Novuspar Participações Societárias Ltda. ( www.novus.com.br ) e del relativo gruppo societario facendo seguito a quanto annunciato lo scorso 28 agosto .
L’ingresso di Novus nel Gruppo rientra nella strategia di crescita internazionale e di ampliamento dell’offerta tecnologica di Gefran , avvia ndo una nuova fase di sviluppo . L’operazione consentirà infatti di valorizzare le forti complementarità industriali tra le due realtà, creando nuove opportunità di crescita attraverso l’integrazione delle reti commerciali, l’espansione internazionale del portafoglio di Novus e il rafforzamento della presenza del Gruppo in America Latina. Sono inoltre attese importanti sinergie derivanti dalla valorizzazione delle rispettive piattaforme produttive, dall’ottimizzazione delle attività di approvvigionamento e dalla condivisione d i competenze tecnologiche e di ricerca e sviluppo, con l’obiettivo di accelerare l’innovazione, ridurre il time -to-market delle nuove soluzioni e generare valore sostenibile nel lungo termine per clienti, collaboratori e azionisti.
L’operazione è stata perfezionata in data odierna tramite cessione d ella totalità del capitale sociale , a seguito de lla quale Gefran S.p.A. , tramite Gefran Brasil, controllata del Gruppo già operativa sul mercato brasiliano, per un Enterprise Value di 215 milioni di Reais brasiliani (circa 3 6,2 milioni di Euro).
L'operazione è stata interamente finanziata da Gefran S.p.A. in favore della controllata mediante l'utilizzo di risorse finanziarie disponibili, integrate da linee di credito bancarie di nuova attivazione.

Provaglio d’Iseo (BS), October 1st, 202 6 - Gefran S.p.A., a company specializing in the design and production of sensors, sy stems and components for the automation and control of industrial processes , announces the finalization of the acquisition of the entire share capital of Novuspar Participações Societárias Ltda. ( https://www.novus.com.br ) and its group of companies following what disclosed last August 2 8th.
The integration of Novus within the Group falls within Gefran’s strategy for international growth and for the expansion of its technology portfolio , starting a new phase of development . The transaction will indeed enhance the strong industrial synergies between the two entities, generating new opportunities for growth through the integration of sales networks, the international expansion of the Novus portfolio, and the strengthening of the Group’s presence in Latin America. Significant synergies are also expected, resulting from the development of the joint manufacturing platforms, the improvement of procurement processes, and the cross -sharing of technological know -how and research and development capabilities, aimed at furt her accelerating innovation, reducing the time -to-market for new solutions, and building long -term sustainable value for customers, partners and shareholders.
Today , the transaction was finalized through the acquisition of the entire share capital by Gefran S.p.A. , through Gefran Brasil, a Group subsidiary currently operating in the Brazilian market, for an Enterprise Value of 215 million Brazilian Reais (approximately 36.2 million Euros). The transaction was entirely financed by Gefran S.p.A. in favour of its subsidiary , using available financial resources, supplemented by newly drawn bank credit facilities .
