Roma, 23 settembre 202 6 – Garofalo Health Care S.p.A. (“ GHC ”) comunica di aver sottoscritto un contratto di acquisto vincolante per l’acquisto di una partecipazione pari al 100% del capitale sociale di Casa di Cura Malatesta Novello S.r.l. (“ Malatesta ” o “Target ”), struttura accreditata con il Servizio Sanitario Nazionale e con sede a Cesena .
L’operazione ricomprende anche l’acquisizione dell’immobile strumentale, oggetto di un contestuale preliminare di compravendita stipulato da GHC Real Estate S.p.A. , dotato di una superficie di ca. 6.600 mq e attualmente condotto in locazione dalla Target.
Maria Laura Garofalo, Amministratore Delegato di GHC, ha commentato: “Questa operazione ci rende particolarmente orgogliosi e conferma la validità di una strategia di crescita sana, selettiva e orientata alla creazione di valore. Con la Casa di Cura Malatesta Novello, entra in GHC una struttura di eccellenza sia per la quali tà dell’attività clinica, sia per le elevate performance economiche e finanziarie, con una marginalità superiore al 21% e una significativa capacità di generare cassa. Risultati che riteniamo possano ulteriormente migliorare grazie a concrete opportunità d i sviluppo ed efficientamento, già individuate nel corso della due diligence. Riteniamo, inoltre, particolarmente importante che la Dottoressa Valentina Valentini, che sino ad oggi ha guidato la struttura con grande competenza e dedizione, continui a gestirla insieme a noi, garantendo continuità al percorso intrapreso e contribuendo alla nuova fase di sviluppo. Profilo d ella Target La struttura, fondata nel 1947, eroga prestazioni sia di ricovero che ambulatoriali, sia in accreditamento che in forma privatistica .
Per quanto concerne l’attività di ricovero, la Target è dotata di 144 posti letto accreditati per le discipline di Ortopedia e Traumatologia, Chirurgia Generale, Medicina Generale/Lungo Degenza, Ginecologia, Otorinolaringoiatria.

In ambito ambulatoriale, la struttura è accreditata per le specialità di Medicina Generale, Cardiologia, Chirurgia Generale, Dermatologia, Gastroenterologia - endoscopia digestiva, Medicina Fisica e Riabilitativa, Ginecologia, Laboratorio analisi, Ortopedi a e Traumatologia, Otorinolaringoiatria, Diagnostica per immagini
- radiologia diagnostica, Medicina dello sport, Oculistica, Neurologia, Urologia, Endocrinologia, Allergologia, Pneumologia, Reumatologia, Psicologia non medica, Psichiatria, Neurochirurgia, Geriatria, Oncologia.
In termini di dotazioni clinico -sanitarie, l a Target dispone di 4 sale operatorie, di cui una attivata nel 2017 e una ancor più recente inaugurata nel 2023 , di una Terapia Intensiva post-operatoria dotata di 6 posti letto oltre a tecnologie e apparecchiature di ultima generazione come una Risonanza Magnetica 1,5T della Phillips e una TAC 64 slices della Fuji .
Performance della Target Nel 2025 la Target ha registrato Ricavi pari a €35,4M, di cui ca. €33M ( il 94% ) derivante da attività SSN nei confronti di pazienti regionali e Fuori -Regione .
L’EBITDA, normalizzato per tenere conto della neutralizzazione del canone d’affitto relativo all’immobile strumentale (oggetto anch’esso di acquisizione) nonché di alcune partite non ricorrenti, è risulta to pari a €7,5M, con una marginalità d i ca. il 21%, accrescitiva rispetto a quella media di Gruppo .
Si segnala che i suddetti valori di Ricavi ed EBITDA normalizzato non includono i benefici che deriveranno dagli efficientamenti e sinergie da implementare successivamente all’ingresso della Target nel Gruppo GHC, già identificati in sede di Due Diligence . Post efficientamenti e sinergie, l a marginalità della Target attesa è stimata in crescita fino a ca. il 25%.
Razionale strategico dell’operazione L’operazione consente una chiara e significativa creazione di valore per il Gruppo GHC e i suoi azionisti, alla luce dei seguenti elementi :
• Rafforzamento strategico del Gruppo GHC in Emilia -Romagna L’operazione consent irà a GHC di incrementare ulteriormente la propria rilevanza in Emilia -Romagna, dove il Gruppo è oggi già presente con le strutture per acuti di Hesperia Hospital (Modena), Ospedali Privati Riuniti (Bologna), Domus Nova (Ravenna), Casa di Cura Prof. Nobili (Castiglione dei Pepoli) e con i centri diagnostici Poliambulatorio Dalla Rosa Prati (Parma) ed Aesculapio (S. Felice sul Panaro). Complessivamente, includendo il contributo della Target riferito all’anno 2025, le strutture del Gruppo in Emilia -Romagna esprimer anno Ricavi aggregat i pari a oltre €200M, rafforzando pertanto il ruolo di GHC nella Regione .
• Performance della Target resilienti e con elevata sostenibilità di lungo periodo , con contestuale possibilità di ulteriori upside derivanti dallo sviluppo dell’attività privata out -of-pocket La Target è dotata di una forte componente di risorse SSN (pari a ca. il 94% sulla base dei risultati 2025), elemento che garantirà la resilienza e la sostenibilità di lungo periodo delle sue performance , con contestuale possibilità di upside derivant i dall’ulteriore sviluppo dell’attività privata out -of-pocket .
• Operazione accrescitiva per gli azionisti di GHC già al momento dell’acquisizione La Target esprime performance solide e accresci tive in termini di marginalità già al momento del closing , ovvero pre -sinergie ed efficientamenti (marginalità superiore al 21%) .
• Sinergie significative e già identificate puntualmente, con un chiaro percorso di realizzazione A seguito dell’ingresso nel Gruppo GHC sono previste azioni di efficientamento e sinergie , già identificate puntualmente in sede di Due Diligence, che a regime consentiranno di incrementare la marginalità della Target fino a ca. il 25%.
In aggiunta , si segnala che l’acquisizione consentirà a GHC di beneficiare di ulteriori upside derivanti dalla complementarità operativa della Target con la struttura Domus Nova di Ravenna, struttura per acuti del Gruppo distante appena 40 km e ricompresa nella medesima ASL Romagna. Tale prossimità geografica e l’appartenenza alla medesima ASL permetter anno infatti, da un lato, di consolidare il peso strategico del Gruppo all’interno della più grande ASL dell’Emilia -Romagna, e, dall’altro, di beneficiare dell’interscambio di professionisti medici e sanitari tra le due strutture

• Rispetto della disciplina finanzia ria comunicata sin dall’IPO Al momento dell’acquisizione il Gruppo mante rrà una leva finanziaria consolidata inferiore a 3,5x su base Pro-Forma (i.e. ovvero includendo il contributo su 12 mesi della Target) , nel rispetto del le indicazioni comunicate al mercato sin dall’IPO .
Termini e struttura dell’operazione L’acquisizione prevede una valorizzazione “on a debt and cash free basis” (Enterprise Value) per l’acquisto congiunto del 100% del capitale sociale della Target e dell’immobile strumentale p ari complessivamente a €69,3M. L’Equity Value dell’operazione , che sarà definito puntualmente al closing sulla base della Posizione Finanziaria Netta rilevata a tale data , è oggi stimato pari a ca. €76M .
L’acquisto delle quote della Target sarà perfezionato da GHC S.p.A. mentre l’ac quisto dell’immobile strumentale sarà effettuato direttamente da GHC Real Estate S.p.A. , società interamente controllata da GHC S.p.A. e che detiene la gran parte degli asset immobiliari del Gruppo.
L’operazione sarà finanziata in parte con cassa disponibile e in parte con ricorso all’indebitamento bancario , avendo attualmente GHC la disponibilità di una Linea Capex concessa al Gruppo nel 2024. In questo contesto , GHC comunica che sta finalizzando con primarie istituzioni finanziarie nazionali e internazionali un atto modificativo (c.d. “Amend & Increase” ) dell’attuale contratto di finanziamento che prevede, inter alia , una modifica delle scadenze e del piano di rimborso delle linee di credito outstanding e un contestuale incremento della Linea Capex da €50M a €100M , funzionale a supportare l’acquisizione della Target.
Il closing dell’operazione di acquisto delle quote e dell’immobile strumentale , previsto entro il mese di ottobre 2026, è soggetto al verificarsi delle usuali condizioni sospensive per questo genere di operazioni.

Rome, September , 23 2026 – Garofalo Health Care S.p.A. ( “GHC” ) announces that it has signed a binding purchase agreement to acquire a 100% stake in the share capital of Casa di Cura Malatesta Novello S.r.l.
(“Malatesta” or “Target” ), a facility accredited by the National Healthcare Service and headquartered in Cesena.
The transaction also includes the acquisition of the real estate asset , which is subject of a concurrent preliminary purchase agreement entered into by GHC Real Estate S.p.A., with a total area of approx.
6,600sq m and currently leased by the Target.

Target Profile
The facility, founded in 1947, provides both inpatient and outpatient activities , both accredited and private.
With regard to inpatient care, the Target has 144 accredited beds for the specialties of Orthopedics and Traumatology, General Surgery, General Medicine/Long -Term Care, Gynaecology and Otolaryngology.

For outpatient care, the facility is accredited for the specialties of General Medicine, Cardiology, General Surgery, Dermatology, Gastroenterology - gastrointestinal endoscopy, Physical Medicine and Rehabilitation, Gynaecology , Clinical Laboratory Services, Orthopedics and Traumatology, Otolaryngology, Diagnostic Imaging - diagnostic radiology, Sports Medicine, Ophthalmology, Neurology, Urology, Endocrinology, Allergy, Pulmonology, Rheumatology, Non -Medical Psychology, Psychiatry, Neurosurgery, Geriatrics and Oncology.
In terms of clinical equipment , the Target has 4 operating rooms, one of which opened in 2017 and another even more recently in 2023, a post -operative intensive care unit with 6 beds in addition to state -of-the-art technology and equipment such as a Philips 1.5T MRI scanner and a Fuji 64-slice CT scanner.
Target’s Performance
In 2025, the Target reported Revenues of €35.4 M, of which approx. €33M (94%) deriving from National Healthcare Service (NHS) activities involving Regional patients and Out-of-Regional patients .
EBITDA, normalized to account for the elimination of the lease on the real estate asset (which was also acquired) in addition to certain non -recurring items, amounted to €7.5 M, with a margin of approx. 21%, higher than the Group average.
These Revenue s and normalized EBITDA figures do not include the benefits that will accrue from the efficiency actions and synergies to be implemented following the Target’s entry into GHC Group, which were identified during the Due Diligence process. Following efficienc ies and synergies, the Target’s margin is expected to grow up to approx. 25%.
Strategic rationale of the transaction The transaction creates clear and significant value for GHC Group and its shareholders, in view of the
following factors:
• Strategic strengthening of GHC Group in Emilia -Romagna The transaction will enable GHC to further expand its relevance in Emilia -Romagna, where the Group already operates through the acute -care facilities of Hesperia Hospital (Modena), Ospedali Privati Riuniti (Bologna), Domus Nova (Ravenna) , Casa di Cura Prof. Nobili (Castiglione dei Pepoli) and the outpatient facilities of Poliambulatorio Dalla Rosa Prati (Parma) and Aesculapio (S. Felice sul Panaro). Overall, including the Target’s contribution related to 2025, the Group’s facilities in Emilia -Romagna will generate aggregate Revenue s of over €200 M, thereby strengthening GHC’s role in the Region.
• Target’s resilient performance with strong long -term sustainability , with potential for further upside from the growth of its private out -of-pocket activities The Target has a significant portion of National Healthcare Service (NHS) resources (amounting to approx.
94% based on 2025 results), a factor ensuring the long -term resilience and sustainability of its performance, while also offering upside potential from the further development of its private out -of-pocket activities .
• Transaction accretive for GHC shareholders immediately upon completion of acquisition The Target is delivering solid and margin -accretive performances already at the time of closing - i.e. even before considering synergies and efficienc ies (margin exceeding 21%).
• Significant and already specifically identified synergies, with a clear roadmap for implementation Following the Target’s integration into GHC Group, efficiency actions and synergies - which were already specifically identified during the Due Diligence process - are expected to increase the Target’s margin at regime to approx. 25%.
In addition, it should be noted that the acquisition will allow GHC to benefit from further upside from the operational complementarity between the Target and Domus Nova in Ravenna - an acute care facility of the Group located just 40 km away and within the same Romagna Local Health Authority (LHA) . This geographical proximity and the fact that both facilities belong to the same LHA will, on the one hand, allow the Group to consolidate its strategic presence within the largest LHA in Emilia -Romagna and, on the other, to benefit from the exchange of medical and healthcare professionals between the two facilities .

• Compliance with the financial discipline announced since the IPO Upon completion of the acquisition, the Group will maintain a consolidated financial leverage lower than 3.5x on a Pro-Forma basis (i.e. including the Target’s contribution over 12 months), in accordance with the guidance provided to the market since the IPO.
Terms and structure of the transaction The acquisition provides for a valuation “on a debt and cash free basis” (Enterprise Value) for the joint purchase of 100% of the Target’s share capital and of the Real Estate asset totalling €69.3 M. The Equity Value of the transaction, which will be determined at the time of closing based on the Net Financial Position as of that date, is currently estimated equal to approx. €76M.
The purchase of the Target’s shares will be completed by GHC S.p.A., while the purchase of the Real Estate asset will be carried out directly by GHC Real Estate S.p.A., a wholly -owned subsidiary of GHC S.p.A. that holds the majority of the Group’s Real Estate assets.
The transaction will be financed in part with available cash and in part through bank debt, as GHC currently has a Capex Line available granted to the Group in 2024. In this context, GHC announces that it is finalising with leading domestic and international financial institutions an amendment ( i.e. “Amend & Increase” ) clause to the current financing agreement which modifies, among other matters, the maturities and repayment schedule of the outstanding credit lines, with a concurrent increase in the Capex Line from €50M to €100M, in support of the acquisition of the Target.
The closing of the transaction involving the purchase of the shares and the Real Estate asset , expected by October 2026, is subject to the fulfilment of the customary conditions precedent for this type of transaction s.
