FUSIONE PER INCORPORAZIONE DI BANCA CF+ S.P.A. IN BANCA SISTEMA S.P.A.: RILASCIATE LE
AUTORIZZAZIONI DELLA BANCA D’ITALIA
Milano, 1 1 settembre 2026 – Facendo seguito a quanto comunicato in data 24 giugno 2026 con riferimento all’approvazione, da parte dei rispettivi Consigli di Amministrazione di Banca CF+ S.p.A. (“ Banca CF+ ”) e Banca Sistema S.p.A. (“ Banca Sistema ”), del progetto di fusione per incorporazione di Banca CF+ in Banca Sistema (la “ Fusione ”), si rende noto che la Banca d’Italia ha rilasciato, in data odierna, il provvedimento di :
(i) autorizzazione di cui all’art. 57 del D.Lgs. n. 385/93 (“ TUB ”) e relative disposizioni di attuazione in relazione alla Fusione , nonché (ii) accertamento di cui all’art. 56 del TUB e relative disposizioni di attuazione in relazione alle modifiche statutarie connesse alla Fusione.
La Banca d’Italia ha altresì comunicat o di aver preso atto che le azioni ordinarie di nuova emissione rivenienti dall’aumento di capitale saranno classificate come strumenti di CET1 , ai sensi degli artt. 26, comma 3, e 28 del Regolamento (UE) n. 575/2013.
Per qualsiasi ulteriore informazione sulla Fusione, si rinvia alla documentazione che sarà messa a disposizione del pubblico in conformità alla normativa di legge e regolamentare vigente.

Milan, 1 1th September 2026 – Further to the joint press release issued on 24 June 2026 with regard to the approval by the respective Boards of Directors of Banca CF+ S.p.A. (“ Banca CF+ ”), and Banca Sistema S.p.A. (“Banca Sistema”) of the plan for the merger by absorption of Banca CF+ into Banca Sistema (the
“Merger
”) notice is hereby given that the Bank of Italy has today released the following: (i) authorization pursuant to art. 57 of Legislative Decree no. 385/93 (“TUB”) and related implementing provisions regarding the Merger, as well as (ii) verification pursuant to art. 56 of the TUB and related implementing provisions regarding the statutory changes connec ted to the Merger.
The Bank of Italy has also stated that it has acknowledged that the newly issued ordinary shares from the capital increase will be classified as CET1 instruments, pursuant to articles 26, paragraph 3, and 28 of Regulation (EU) no. 575/2013.
