Fortaco Group announces amendments to the terms and conditions of the Bonds following approval of its Written Procedure in connection with the disposal of its steel fabrication and assembly operations

Fortaco Group Holdco Oyj (the "Company") today announces the successful completion of the written procedure (the "Written Procedure") that was initiated on 31 July 2026 in relation to the Company's outstanding senior secured bonds with ISIN NO0012547274 (the "Bonds"), regarding certain amendments and waivers to the terms and conditions of the Bonds in connection with the contemplated disposal of the Group's steel fabrication and assembly operations in Finland, Estonia and Poland (the "Steel Fabrication and Assembly Disposal"), as further specified in the notice of the Written Procedure dated 31 July 2026 (the "Proposal").
In the Written Procedure, a sufficient number of holders of Bonds participated in order to form a quorum, and a requisite majority of the holders of Bonds voted in favour to approve the Proposal.
In order to implement the amendments to the terms and conditions of the Bonds, the Company and the agent have today entered into an amendment and restatement agreement, amending and restating the terms and conditions of the Bonds in accordance with the Proposal (the "Amendment and Restatement Agreement"). All conditions precedent under the Written Procedure and the Amendment and Restatement Agreement have been satisfied and the amendments pursuant to the Written Procedure are hence effective as of today.
