Reference is made to the stock exchange announcement made by Fjord Defence Group ASA (the "Company") on 19 June 2026 regarding the notice of an extraordinary general meeting in the Company in connection with the contemplated acquisition of 100% of the shares in PartnerTech Karlskoga Aktiebolag (the "Acquisition") and a potential subsequent repair offering (the "Subsequent Offering").
The extraordinary general meeting was held today, 10 July 2026. As follows from the attached minutes, all matters were resolved as proposed by the board of directors, including (i) the board authorisation to increase the Company's share capital by issuance of consideration shares in the Acquisition, (ii) the board authorisation to increase the Company's share capital by issuance of new shares in the potential Subsequent Offering, and (iii) the board authorisation to increase the share capital by issuance of consideration shares in potential future acquisitions.
As announced by the Company on 26 July 2026, the Subsequent Offering has been cancelled. The board authorisation relating to the Subsequent Offering will accordingly not be utilised.
