1NOTICE OF FILING OF MINUTES OF
THE BOARD OF DIRECTORS'
MEETING
FINCANTIERI S.p.A. ("Fincantieri" or the "Surviving Company"), further to the press release published on 30 September 2026, announces that the minutes of the meeting of Fincantieri's Board of Directors held on 30 September 2026, which approved, pursuant to Article 2505, paragraph 2, of the Italian Civil Code and Article 25.3 of Fincantieri's Articles of Association, the merger by incorporation of Bacini di Palermo S.p.A., whose share capital is entirely owned by Fincantieri, have been registered with the competent Companies' Register.
The minutes of the Board of Directors' resolution are available to the public, in compliance with the applicable laws and regulations, on the Company's website (www.fincantieri.com, section Group - Governance and Ethics - Corporate Bodies and Management - Board of Directors - Extraordinary Transactions Documentation).
The aforementioned documentation is also available at the Company's registered office and through the authorised storage mechanism "eMarket STORAGE" (www.emarketstorage.it).
