Financing Update
The Board of Directors of Alternative Income REIT PLC (ticker: AIRE) announces that it has received a reservation of rights letter from HSBC UK Bank plc ("HSBC") in relation to the £41 million facility agreement dated 2 September 2025 between, amongst others, the Company and HSBC (the "Facility Agreement").
The letter has been issued by HSBC following the offer by Glenstone REIT plc ("Glenstone") being declared unconditional which constituted a change of control (the "Change of Control") for the purposes of the Facility Agreement.
As a result of the Change of Control, HSBC is not obliged to fund any future utilisations under the Facility Agreement, and has the right, amongst other matters, to demand repayment of the amounts drawn down under the Facility Agreement together with accrued interest.
As at the date of this announcement, HSBC has not requested repayment of any amounts outstanding under the Facility Agreement.
The Group continues to meet its obligations as they fall due and continues to operate in the ordinary course.
The Company has introduced HSBC to Glenstone for discussions in connection with the Change of Control.
