Final results of Coop Norge's recommended cash offer to the shareholders of MatvareExpressen and completion of the Offer.

Reference is made to the stock exchange announcement dated 15 June 2026 regarding the recommended voluntary cash offer (the "Offer") by Coop Norge SA ("Coop Norge" or the "Offeror") to the shareholders of MatvareExpressen AS ("MatvareExpressen" or the "Company") and the commencement of the acceptance period under the Offer (the "Offer Period"). Reference is further made to the announcement dated 23 June 2026 regarding the satisfaction of the 90% minimum acceptance condition for the Offer and the announcement dated 30 June 2026 regarding the preliminary result of the Offer. Additionally, reference is made to the announcement dated 8 July 2026 regarding the receipt of competition clearance for the Offer and that settlement of the Offer would take place no later than 22 July 2026.

Following final verification of acceptances, the Offeror received acceptances under the Offer for a total of 1,184,843 shares in the Company, representing approximately 97.60% of the issued and outstanding share capital of the Company.

The Offeror hereby announces that the Offer has been completed and that settlement of the Offer has been made, pursuant to the terms set out under section 1.3 ("Offer Conditions") and 1.8 ("Settlement") of the Offer Document.

DNB Carnegie, a part of DNB Bank ASA (the "Receiving Agent"), has made payments of the offer price of NOK 267.60 per share in the Company that have been validly accepted under the Offer. Shareholders of the Company who have validly accepted the Offer are expected to receive the settlement amount in their respective bank accounts as registered in the VPS on or about 21 July 2026.

As of settlement of the Offer, the Offeror holds 1,184,843 shares in MatvareExpressen, representing approximately 97.60% of the issued and outstanding share capital of the Company.

The Offeror intends to carry out a compulsory acquisition in accordance with section 4-26 of the Norwegian Private Limited Liability Companies Act of the remaining outstanding shares in the Company at a redemption price equal to the offer price of NOK 267.60 per share in the Company, as soon as practicably possible. Furthermore, the Offeror intends to take steps to delist the Company from Euronext Growth Oslo. Separate announcements will be made if and when the compulsory acquisition and the resolution to apply for delisting have been resolved.
