Fasadgruppen contemplates issuance of senior secured bonds

Fasadgruppen Group AB (publ), reg. no. 559158-4122 (the “Company” or “Fasadgruppen”), has mandated Nordea Bank Abp as sole bookrunner to arrange meetings with bond investors starting on 28 September 2026 to explore the possibility of issuing senior secured bonds with a tenor of 4 years and an expected volume of SEK 1,250 million under a framework of SEK 2,500 million (the “Bond Issue”). The Bond Issue is intended to be carried out subject to prevailing market conditions. The net proceeds from the contemplated Bond Issue will be used to refinance parts of the Company’s existing credit facility and to finance general corporate purposes, including acquisitions, investments and repayments of financial obligations.
Subject to the completion of the Bond Issue, Fasadgruppen intends to enter into a revolving credit facility of SEK 900 million for the purpose of refinancing the remaining parts of the Company’s existing credit facility.
Nordea Bank Abp is acting as arranger and sole bookrunner in connection with the Bond Issue. Mannheimer Swartling Advokatbyrå is acting as legal advisor to Nordea Bank Abp and Gernandt & Danielsson Advokatbyrå is acting as legal advisor to the Company.
