Equity Subscription Update
Issue of Chancery Tranche A Subscription Shares
Nativo Resources plc (LON: NTVO), the precious metals company with gold mining and processing interests in Peru, is pleased to confirm the issue of the 142,857,143 Tranche A Subscription Shares to both Chancery Royalty Limited ("Chancery") and investors introduced by Chancery (together, "the Investors"), pursuant to the Agreement announced by the Company on 18 September 2026, raising £300,000.
As announced on 18 September 2026, the Tranche A Subscription Shares were originally intended to be issued to Chancery, with the Tranche B Subscription Shares to be issued to investors introduced by Chancery. This arrangement has since been revised, with both Chancery and its introduced investors subscribing across the two tranches.
Simultaneously with allotment of the Tranche A Subscription Shares, Nativo will issue the Investors a total of 142,857,143 warrants on a one-for-two basis across the combined 285,714,286 subscription shares pursuant to the Agreement (being the Tranche A Subscription Shares and Tranche B Subscription Shares in aggregate), exercisable at 0.32 pence per share (a 52% premium to the subscription price) for three years from 8 October 2026.
Admission to AIM and Total Voting Rights
Application has been made for the Tranche A Subscription Shares to be admitted to trading on AIM ("Admission"). Admission is expected to take place at 8.00 a.m. on or around 14 October 2026.
In accordance with the provision of the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority, the Company confirms that, following the issue of the above Tranche A Subscription Shares, its issued Ordinary share capital will comprise 1,657,207,761 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. The total number of voting rights in the Company will therefore be 1,657,207,761. The above figure may be used by shareholders as the denominator for the calculations to determine if they are required to notify their interests in, or a change to their interest in, the Company.
Capitalised terms used in this announcement shall, unless otherwise defined, bear the same meaning ascribed to such terms in the 18 September 2026 announcement.
