Katjes Greenfood resolves to issue a new corporate bond
Düsseldorf, 22 September 2026 – Katjesgreenfood GmbH & Co. KG (“Katjes Greenfood”), the investment company of the Katjes Group focusing on growth companies in the food industry’s ‘Better-for-You’ segment, has today resolved to issue a new corporate bond (ISIN: NO0013759555, WKN: A5GS6W) with a target volume of EUR 40 million. The new bond, issued under Norwegian law, is to have a maturity of five years and an interest rate within a range of nominally 7.75% to 8.50%.
The final interest rate is expected to be determined and published after the end of the offer period, based on the subscription orders received.
The offering consists of a public offering in the Federal Republic of Germany, the Grand Duchy of Luxembourg and the Republic of Austria, and will include the subscription of the 2026/2031 bond via the DirectPlace subscription functionality of Deutsche Börse AG (branch-based or direct bank) as well as the issuer’s website. In addition, there will be a voluntary exchange offer, including an over-allotment option, to holders of the Katjes Greenfood Bond 2022/2027 (ISIN: DE000A30V3F1, WKN: A30V3F), as well as a corresponding exchange offer to holders of the 2021/2026 crowdfunding subordinated loans.
The exchange offers are scheduled to run from 23 September to 15 October 2026 (6.00 pm CEST). Subscriptions via Deutsche Börse’s DirectPlace subscription platform and the issuer’s website are expected to be available from 23 September 2026 to 19 October 2026 (12.00 CEST), subject to early closure or extension.
The public offering is subject to, and based on, a securities prospectus, which is expected to be approved by the Commission de Surveillance du Secteur Financier (CSSF), Luxembourg, today. The securities prospectus will be available for download on the issuer’s website at https://www.katjesgreenfood.de/investors/ under the sub-section ‘BONDS ’26/’31’ immediately following approval.
Furthermore, as part of a private placement, the bonds will be offered in Germany, selected European countries and certain other countries. The bond issue is being managed by ABG Sundal Collier ASA as Global Coordinator and Montega Markets GmbH (contractually bound intermediary of Wolfgang Steubing AG Wertpapierdienstleister) as joint lead managers.
The new 2026/2031 bond is scheduled to be listed on the Frankfurt Stock Exchange (FWB) in the Quotation Board (Open Market) segment and, within six months of the issue date, on the Nordic ABM of the Oslo Stock Exchange.
Katjes Greenfood intends to use the net proceeds from the new bond primarily for the early redemption of the 2022/2027 bond.
