DEUTZ AG successfully completes cash capital increase through accelerated bookbuilding

 
Cologne, September 15, 2026 – DEUTZ AG has used part of its authorized capital to successfully issue 15,263,810 new shares in a private placement by way of an accelerated bookbuilding process, with exclusion of pre-emption rights. This increases the share capital of DEUTZ AG by 10% to 167,901,915 no-par-value bearer shares. The Board of Management and Supervisory Board of DEUTZ AG set the placement price at €11.70 per share, resulting in gross issue proceeds of approximately €179 million.

The new shares are expected to be admitted to trading in the regulated market of the Frankfurt and Dusseldorf Stock Exchanges on September 17, 2026 without a prospectus. Trading in the new shares, which will be included in the existing listing of the Company’s shares, is intended to commence on September 18, 2026. Delivery of the new shares is also expected on September 18, 2026.

The Company intends to use the net proceeds from the capital increase to optimize its capital structure in order to enhance its financial flexibility for future growth opportunities.

As part of the private placement, DEUTZ will commit to a lock-up period of six months, subject to market standard exemptions including the increase of the share capital against contribution in kind as resolved by the extraordinary general meeting in August 2026.
