Episurf Medical AB (publ) (Nasdaq Stockholm: EPIS B) (“Episurf” or the “Company”) has today, through a wholly owned subsidiary, completed the acquisition of eight properties in Hudiksvall with an agreed underlying property value of SEK 300 million. With the exception of the property Åvik 26:14, the properties constitute the Non-completed Property Portfolio described in the Company’s press release of 30 December 2025. The properties have a total leasable area of approximately 16,300 m², annual rental income of approximately SEK 26.1 million and net operating income of approximately SEK 22.4 million.

The closing in brief
On 30 December 2025, Episurf announced that the Company had entered into an agreement with Frusipe Intressenter Holding AB (the “Seller”) regarding the acquisition of all shares in Frusipe Intressenter Target 1 AB (the “Target Company”) (the “Acquisition”). In addition to holding and managing, through subsidiaries, a property portfolio consisting of a total of four properties (the “Completed Property Portfolio”), the Target Company had through a subsidiary entered into an agreement to acquire an additional property portfolio consisting of a total of nine properties in Hudiksvall, with a total agreed underlying property value of approximately SEK 470 million (the “Non-completed Property Portfolio”). The Acquisition of the Target Company was completed on 8 January 2026.[1]
Closing of the acquisition of the Non-completed Property Portfolio has now taken place with respect to eight of the nine properties. The property Åvik 26:14 is not included in the closing.
The property portfolio has been developed by Västra Hamnen Holding AB and Västra Hamnen Utveckling AB.
Purchase price and financing
The agreed underlying property value of the acquired properties amounts to SEK 300 million. The financing has changed compared with previously published information, see below.
Changed financing
As set out in the press release of 30 December 2025, the preliminary purchase price concerning the Non-completed Property Portfolio was to be paid through directed issues to the Seller of Class B shares and convertible debentures convertible into Class B shares, corresponding to approximately 4.15 billion Class B shares. As payment for the acquired properties, a total of approximately 1.73 billion Class B shares have been issued, which is approximately 2.41 billion fewer Class B shares than previously communicated. The total dilution effect for existing shareholders resulting from the Acquisition will be lower than stated in the press release of 30 December 2025. The remaining part of the purchase price is paid with the Company’s cash and cash equivalents. Existing loans in the acquired property companies are refinanced with new bank debt.
Key figures for the acquired properties
The eight properties have a total leasable area of approximately 16,334 m². Annual rental income amounts to approximately SEK 26.1 million and net operating income to approximately SEK 22.4 million, corresponding to a yield of approximately 7.5 percent on the agreed underlying property value. The average remaining lease period, weighted by rental income, amounts to approximately 5.4 years. The properties are fully let.
The portfolio comprises the properties Åvik 26:16, Åvik 26:22, Sofiedal 12:6, Tuna-Fors 1:40, Tuna-Fors 2:23, Tuna-Fors 2:34, Tuna-Fors 2:36 and Tuna-Fors 4:8.
About the properties
Two of the properties are located in the Västra Hamnen district, approximately 1 km from Hudiksvall Central Station. Åvik 26:16 comprises a sports arena with two full-size halls, completed in autumn 2025 and let to Hudiksvalls kommun on a ten-year lease until 30 September 2035, as well as office premises. Åvik 26:22 is a healthcare centre let to Doktorama Söderhamn AB on a ten-year lease until 31 December 2035.
The remaining six properties are located in the Tuna-Fors industrial and retail area close to the E4 motorway and comprise light industrial, retail and office premises. Tenants include Ahlsell, Byggmax, NCC Industry, Rexel, Anticimex and Trafikverket.
