Reference is made to the stock exchange announcement from Ensurge Micropower ASA (“Ensurge” or the “Company”) on 28 September 2026 regarding the issuance of subordinated and unsecured convertible loans in an aggregate principal amount of NOK 21 million (the “Convertible Loans”), as part of a convertible loan financing of up to NOK 35 million.
Coretech AS, a close associate of Thomas Ramm (Board member and primary insider), has committed and been allocated NOK 7,000,000 of the Convertible Loans. The Convertible Loans have a conversion price of NOK 1.00 per share (the “Conversion Price”).
Under the terms of the Convertible Loans, three (3) warrants (Nw. frittstående tegningsretter) will be granted free of charge to the lenders for every NOK five (5) allocated in the Convertible Loans. Coretech AS will accordingly be granted 4,200,000 warrants. Each warrant gives the right to subscribe for one (1) new share in the Company at an exercise price equal to the Conversion Price.
The Convertible Loans have been issued pursuant to the board authorisation granted by the Company’s annual general meeting on 15 May 2026. The issuance of the warrants remains subject to approval by the extraordinary general meeting in the Company, expected to be held on or about 20 October 2026.
