Consiglio di Amministrazione Eni Deliberat a la prima tranche dell’erogazione in luogo del dividendo 2026: € 0,27 per azione
San Donato Milanese , 28 luglio 2026 – Il Consiglio di Amministrazione, presieduto da Giusepp ina Di Foggia , nella riunione odierna, ha deliberato di distribuire agli azionisti la prima delle quattro tranche dell’erogazione in luogo del dividendo 20261, a valere sulle riserve disponibili, di € 0,27 (su una erogazione complessiv a annuale , in luogo del dividendo , pari a € 1,1) per ciascuna azione in circolazione alla data di stacco cedola del 21 settembre 20262, con messa in pagamento il 23 settembre 20263, in linea con quanto deliberato dall’Assemblea del 6 maggio 2026.
Per i possessori di ADRs registrati entro il 22 settembre 2026, quotati alla Borsa di New York e rappresentativi ciascuno di due azioni Eni, la prima tranche dell’erogazione sarà di € 0,54 per ADR, pagabile il 7 ottobre 20264.

Approval of the first tranche of the provision in place of 2026 dividend: € 0.27 per share
San Donato Milanese , 28 July 2026 – Eni’s Board of Directors , chaired by Giusepp ina Di Foggia , today resolved to distribute to Shareholders the first of the four tranche s of the provision in place of the 202 6 dividend5 from Eni S.p.A. available reserves of € 0.27 (compared to a total annual provision, in place of the dividend , equal to € 1.1) per share outstanding at the ex-
dividend date as of 21 September 20266, payable on 23 September 20267, as resolved by the Shareholders’ Meeting of 6 May 202 6.
Holders of ADRs , outstanding at the record date of 22 September 2026, will receive € 0.54 per ADR , payable on 7 October 20268, with each ADR listed on the New York Stock Exchan ge representing two Eni shares .
