ENEL CLOSED THE ACQUISITION OF 810 MW PORTFOLIO OF SOLAR
PLANTS IN THE UNITED STATES
• The consideration for the acquisition of the 810 MW1 portfolio of solar plants is equal to approximately 760 million US dollars • The transaction follows the agreements signed in February 2026 for the acquisition of a portfolio of renewable plants for a total of more than 1 GW2
Rome, September 10th, 2026 – Enel S.p.A. ("Enel")3 closed the acquisition from Excelsior Energy Capital4 of a portfolio of solar plants, located in the United States, with an overall installed capacity of 810 MW1 and an expected average output of around 1.6 TWh per year (the “Acquisition”) , for a consideration of around 760 million US dollars5, which includes adjustments customary for these types of transactions . The consideration for the acquisition is financed by cash flows from current operations .
The transaction follows the agreements signed in February 2026 , which provide for the acquisition of a portfolio of wind and solar plants with a total installed capacity of over 1 GW2, for an enterprise value referred to 100% of the entire portfolio of approximately 1 .3 billion US dollars6.
The Acquisition was closed following the fulfillment of certain conditions precedent set forth in the agreements signed in February 2026 and customary for these kinds of transactions, including the issuance of the authorizations required by applicable US regulations7. The closing of the acquisition of the remaining 205 MW of wind capacity included in the abovementioned agreement s is expected by the fourth quarter of 2026 , after which the Enel Group is expected to achieve in North America an installed capacity entirely from renewable sources of over 13 GW of wind, solar and storage facilities .
The Acquisition is expected to generate a positive effect of approximately 90 million US dollars per year8 on the Enel Group ’s consolidated ordinary EBITDA.
The transaction is in line with the Enel Group's strategy , which envisages the growth of its generation capacity from renewable sources including through the acquisition of assets already in operation in Tier 1 countries (Brownfield).
