Elektroimportøren AS: Brødrene A. & O. Johansen A/S has completed the recommended voluntary cash offer for Elektroimportøren AS

Reference is made to the company announcement dated 3 July 2026 regarding the recommended voluntary cash offer (the “Offer”) to all shareholders of Elektroimportøren AS (the “Company” or “Elektroimportøren”) by Brødrene A. & O. Johansen A/S (the “Offeror”) as described in the offer document published on the same date (the “Offer Document”), at NOK 22 per share, subject to the terms and conditions in the Offer Document. Further reference is made to the announcement published on 6 August 2026 regarding the Offeror having obtained at least 90% acceptance and that the settlement of the Offer was expected to be completed on 26 August 2026.

The Offeror hereby announces that the Offer has been completed, and that settlement has been made in accordance with the terms outlined in Section 1.15 ("Settlement of the Offer") of the Offer Document.

The Offeror acquired 46,999,087 shares under the Offer bringing the Offeror's total holding in the Company to 46,999,087 shares, representing approximately 92.6% of the issued and outstanding share capital and voting rights in the Company.

As the Offeror has become the owner of more than 90% of the shares and voting rights in the Company, the Offeror intends to carry out a compulsory acquisition of the remaining shares in the Company pursuant to Section 4-26 of the Norwegian Private Limited Liability Companies Act at a price of NOK 22 per share. The Offeror also intends to apply for a delisting of the Company's shares (the "Shares") from Euronext Growth Oslo.
