Edisun Power acquires the business operations of SMARTENERGY Group AG

 

In accordance with the resolutions of the Annual General Meeting held on 29 May 2026, Edisun Power Europe AG and SMARTENERGY Group AG entered into a binding agreement on 23 August 2026 concerning the acquisition of the business operations of SMARTENERGY Group AG.

 

Edisun Power has for many years conducted the majority of its business operations through SMARTENERGY Group AG. In order to strengthen and ensure Edisun Power’s long-term growth, Edisun Power and SMARTENERGY Group concluded a purchase agreement on 23 August 2026, to consolidate the business operations of both companies within Edisun. On 29 May 2026, the Annual General Meeting had already approved the proposals put forward by the Board of Directors in this regard, thereby paving the way for this business takeover.

In future, Edisun Power will focus on all three high-growth compliance markets aimed at reducing CO₂ emissions:

1.    Renewable energy for data centres,

2.    Synthetic aviation fuels (eSAF) and other Power-to-X (PtX) applications, and

3.    Photovoltaic and wind energy with energy storage systems.

SMARTENERGY Group AG has granted Edisun Power a vendor loan in the amount of the purchase price agreed under the purchase agreement, totalling just under CHF 440 million. SMARTENERGY Group AG has undertaken to subscribe for 2,016,943 registered shares in Edisun Power at a nominal value of CHF 30.00 each (i.e. at an issue price of 218.05 per registered share). It is currently planned to set off this vendor loan, amounting to the purchase price, against the payment required to pay up the new registered shares to be issued as part of the capital increase. The capital increase is expected to take place in the coming days, although SIX Swiss Exchange AG has approved a deferral of the listing of the new registered shares for up to six months. Once the listing process has been completed, the new registered shares are expected to be listed on SIX Swiss Exchange AG in the fourth quarter of this year.

The change of name of Edisun Power to SMARTENERGY AG, approved by the Annual General Meeting on 29 May 2026, and the relocation of the registered office to Wollerau (SZ) are to be implemented by the end of 2026 at the latest.
