Completion of private sector contact centre disposal
Capita plc
Capita plc (Capita) today announces that post market close on 31 July 2026 it completed the sale of its private sector contact centre business to Inspirit Capital.
The transaction completed, in line with the legal and commercial terms announced on 26 March 2026. See below for final disposal proforma data.
In line with the transaction announcement there is contingent consideration payable to Capita of up to £61.5m that would be paid between 2027 – 2030 based on certain performance conditions.
As previously outlined, this is an important milestone for the Group’s strategic journey and simplification of the Group, following the progress made in improving and modernising the foundations of the private sector contact centre business.
Now this transaction has completed, this will allow Capita to significantly streamline its operations and focus on areas where Capita delivers complex, differentiated middle and back-office services in large growing markets. We continue to make good progress against our previously announced target of delivering c. £40m annualised cost savings across 2026 and 2027.
The Group’s half year results will be announced on 4 August 2026.

1 ‘Private sector contact centre disposal’ comprises the private sector contact centre business being sold (which will be presented as a discontinued operation in the Group’s results in accordance with IFRS 5), and income and costs related to services the private sector contact centre business received from the Group and which will continue post disposal under transitional service arrangements (which will be presented in business exits within continuing operations). Following disposal, the Group will continue to provide certain services to, and receive certain services from, the disposed business under commercial service arrangements. Income and costs arising from the provision of services under these arrangements post disposal will be recognised in adjusted results, and as such where those services are provided prior to disposal, they also remain in the Group’s adjusted results.
Barclays Bank PLC, acting through its Investment Bank (‘Barclays’) acted as sole financial adviser to Capita, and Dentons UK and Middle East LLP ('Dentons') advised Capita as its sole legal advisers, on the transaction.
