Nomad Compute PLC (AQSE: NMD) announces that Marc Dixon, a Non-Executive Director of the Company, will step down from his position, and that Brian Stockbridge will be appointed to the board as a Non-Executive Director, both with immediate effect.
Brian Stockbridge has over 20 years’ experience in corporate finance, including direct investments, IPOs, capital raisings and mergers and acquisitions for both public and private companies. Mr Stockbridge has held board positions on public and private companies including Rangers Football Club and Allegiance Insure Limited. Brian has held director and management positions at Zeus Capital Limited, Allenby Capital Limited, Noble & Company Limited and Grant Thornton. He previously served as a Case Officer at the Panel on Takeovers and Mergers.

Mr Stockbridge will receive warrants to subscribe for 60,000,000 ordinary shares of £0.0001 (“Ordinary Share”) each in the Company at an exercise price of 0.25p per share (“Warrants”). One third of the Warrants will vest on the first anniversary of grant and thereafter 1/36 of the Warrants will vest at the end of each following month.
Through his wholly owned company, Mr Stockbridge holds 174,652,000 Ordinary Shares and 1,014,426 warrants over Ordinary Shares in the Company.
Save as set out in this announcement, there are no further details to be disclosed pursuant to Rule 4.9 of the Aquis Access Rules for Companies in respect ofBrian Stockbridge.
