NOTIFICATION OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs") IN SHARES OF COMMON STOCK OF PAR VALUE $1.00 EACH IN THE COMPANY ("Shares")
Disposition of Shares through an Open Market Sale
International Paper Company (NYSE: IP; LSE: IPC), a global leader in sustainable packaging solutions, announces that on 7 August 2026, W. Thomas Hamic, Executive Vice President and President, Packaging Solutions North America sold 24,500 ordinary shares of the Company on the open market at an average price of $41.1999 per share.
Intra-Plan Transfer in International Paper Company Deferred Compensation Savings Plan
Also, on 7 August 2026, Mr. Hamic reallocated a portion of his holdings within the International Paper Company Deferred Compensation Savings Plan (the "DCSP") from another investment fund into the Company Stock Fund.
The DCSP is an unfunded, nonqualified defined contribution retirement savings plan for highly compensated employees and senior management. Eligible employees may choose to defer a portion of their salary and bonuses to be credited to the DCSP. These notional amounts are credited with gains and losses based on the returns of selected investments, including the Company Stock Fund. Units allocated to the Company Stock Fund are payable in cash upon retirement or termination.
The transactions were conducted in accordance with the Company's Insider Trading Policy and applicable regulatory requirements under the UK Market Abuse Regulation ("UK MAR").
The notifications set out below are made in accordance with the requirements of Article 19 of UK MAR.
