Grant of SAYE Options and public disclosure of transactions by persons discharging managerial responsibilities ("PDMRs")
TP ICAP Group plc (the "Company") is pleased to announce that it has launched a Sharesave Offer (the "2026 SAYE Offer") for all eligible employees under the TP ICAP Group plc Savings-Related Share Option Plan.
Eligible employees were invited to subscribe for options ("Options") over the Company's ordinary shares of 25 pence each ("Ordinary Shares") which have been granted at an exercise price of £2.6176 per Ordinary Share in accordance with the terms of the 2026 SAYE Offer. This represents a discount of 20% from the average mid-market closing price for an Ordinary Share on the 3 business days from Tuesday 8 September 2026 to Thursday 10 September 2026 prior to the invitation being made to all eligible employees on Friday 11 September 2026.
The Options were granted on 7 October 2026 and will normally be exercisable from 1 December 2029 for six months.
A total of 399 employees have elected to participate in the 2026 SAYE Offer and, as a result, Options over a total of 1,508,757 Ordinary Shares have been granted in respect of the 2026 SAYE Offer, representing 0.19% of the Company's issued share capital.
