DIMISSIONI DI UN AMMINISTRATORE NON ESECUTIVO E NON INDIPENDENTE
Cernusco Lombardone (LC), 29 settembre 2026 –Technoprobe S.p.A., società quotata su Euronext Milan e leader nella progettazione e produzione di probe card (la “ Società” o “Technoprobe ”) rende noto che il Consigliere di Amministrazione Gregory Smith, non esecutivo e non indipendente, ha rassegnato le proprie dimissioni, con effetto dalla data di nomina del proprio sostituto, per motivi personali.
Si ricorda che il Consigliere Gregory Smith è stato nominato dall’assemblea degli azionisti in data 20 dicembre 2024 quale consigliere non esecutivo e non indipendente.
La Società precisa che, in base alle informazioni ricevute, alla data odierna il Consigliere Gregory Smith non detiene azioni ordinarie della Società. Il Consigliere Gregory Smith non faceva parte di alcun comitato endo-
consiliare.
Non sono previste indennità o altri benefici spettanti a seguito della cessazione dalla carica.
A seguito delle suddette dimissioni, il Consiglio di Amministrazione di Technoprobe assumerà le determinazioni del caso al fine di reintegrare il numero dei consiglieri.

RESIGNATION OF A NON-EXECUTIVE, NON-INDEPENDENT DIRECTOR
Cernusco Lombardone (LC), September 29, 2026 – Technoprobe S.p.A., a company listed on Euronext Milan and a leader in the design and manufacture of probe cards (the “ Company ” or “Technoprobe ”), announces that Mr. Gregory Smith, a non-executive and non-independent Director, has tendered his resignation for personal reasons, effective as of the date of appointment of his replacement.
It is recalled that Mr. Gregory Smith was appointed by the Shareholders’ Meeting on 20 December 2024 as a non-executive and non-independent Director.
The Company specifies that, based on the information received, as of the date hereof Mr. Gregory Smith does not hold any ordinary shares in the Company and is not a member of any Board committee.
No indemnities or other benefits are payable to Mr. Gregory Smith in connection with the termination of his office.
Following the above resignation, the Board of Directors of Technoprobe will take the appropriate resolutions and actions to restore the number of Directors.
