Deep Value Driller AS – Notice of EGM with proposals to distribute a dividend of NOK 20.60 per share, change the Company's name, issue warrants, and future opportunities

Oslo, 23 September 2026: Reference is made to the stock exchange announcement made by Deep Value Driller AS (the "Company", and together with its subsidiaries, the "Group") on 10 September 2026 regarding the successful completion of the sale of the Group's 7th generation mobile offshore drilling vessel "Deep Value Driller" to Eldorado Drilling AS (the "Sale").

The Company's board of directors (the "Board") has today resolved to propose that the EGM (as defined below) shall approve distribution of an extraordinary dividend of NOK 20.60 per share, in total approximately NOK 1,926 million, to the Company's shareholders (the "Proposed Dividend"). The Proposed Dividend amount reflect that the Company received USD 205,500,000 on 18 September 2026 distributed from its wholly owned subsidiaries, which shortly thereafter was converted to NOK at an average USD/NOK exchange rate of 9.41966. If adopted by the EGM and following registration of the interim balance with the Norwegian Register of Company Accounts, the Proposed Dividend is expected to be paid on or about 16 October 2026.

The Board has also resolved to propose that the EGM resolves to issue a total of 9,350,831 warrants to the Board members, representing approximately 10% of the number of issued and outstanding shares as of today. The issue of the warrants will be conditional upon approval and payment of the Proposed Dividend. The warrants will be exercisable at NOK 1.00 per share in the period from 16 October 2027 to 16 October 2030. The warrants are intended to serve as an incentive for the Board members' work in seeking and evaluating strategic opportunities for the Company, including the realisation of the Group's remaining inventory and any other value-enhancing initiatives and potential investments (see "Future opportunities" below).

Lastly, the Board has resolved to propose that the EGM approves a change of the Company's name to 3030 DVD AS, reflecting total dividends of NOK 30.30 per share paid by the Company to its shareholders from incorporation, assuming the extraordinary Proposed Dividend above is approved by the EGM.

In connection therewith, the Board hereby calls for an extraordinary general meeting in the Company to be held on Wednesday, 7 October 2026 at 11:00 CEST (the "EGM"). The EGM will be held as a digital meeting only accessible via Microsoft Teams.

The notice of the EGM, including the Board's proposed resolutions, the notice of attendance, advance votes and proxy form, and the audited ineterim balance is attached to this announcement and available on the Company's website, www.deepvaluedriller.no. Shareholders are encouraged to attend the EGM by casting their votes in advance or by granting a proxy to the chair of the Board with voting instructions. See further details in the attached notice.

Future opportunities

Following and subject to approval and distribution of the Proposed Dividend, payment of transaction costs related to the Sale, and cost related to liquidation of the Company's two wholly owned subsidiaries, the Company estimates that the Group will retain a cash amount equal to NOK 0.80 – NOK 1 per share, and an inventory of unknown market value. The inventory will be promoted actively for sale to be converted into cash.

The Board will continue evaluating strategic alternatives for the Company, and has received indications of interest within the marine industry.
