Berlin, 20 August 2026 – DEAG Deutsche Entertainment AG (“DEAG”) entered into an agreement with its anchor shareholder, Apeiron Investment Group Ltd. (“Apeiron”), today regarding a cash capital increase of EUR 10 million, excluding shareholders’ subscription rights. Subject to the fulfilment of certain conditions precedent, Apeiron has undertaken to subscribe for the entire capital increase and would thus be the sole subscriber. The net proceeds from the capital increase, after transaction expenses, are intended to finance DEAG’s further organic and inorganic growth. If the capital increase were to be implemented, the stake held by Apeiron and its affiliates in DEAG would rise from the current level of around 48.4 percent to over 50 percent. In accordance with the terms and conditions of the 7.75% DEAG Bond 2025/2029 (‘the Bond’), this would constitute a change of control (CoC). To ensure that the capital increase can be completed, the company will therefore ask its bondholders to consent to a waiver of the rights to which they are entitled in the event of a CoC. The consent of the bondholders is a condition for Apeiron’s subscription to the capital increase. Provided such consent is granted, DEAG intends to pay a one-off fee in line with market practice to the bondholders.
