Cooptazione di un amministratore Cernusco Lombardone (LC), 24 settembre 2026 – Il Consiglio di Amministrazione di Technoprobe S.p.A., società quotata su Euronext Milan e leader nella progettazione e produzione di probe card (la “ Società” o “Technoprobe ”) rende noto che, in data odierna, ha nominato per cooptazione, ai sensi di quanto previsto dell’articolo 2396-undeces del Codice Civile, il signor Geoffrey Duff Baldwin, quale amministratore della Società, previo parere del Comitato Nomine e Remunerazioni e con l’approvazione del Collegio Sindacale.
Il neonominato Amministratore rimarrà in carica sino alla prossima Assemblea degli Azionisti.
Il Consiglio di Amministrazione ha altresì verificato che il signor Geoffrey Duff Baldwin è in possesso dei requisiti di onorabilità e professionalità richiesti dalla normativa applicabile e che non sussistono in capo allo stesso i requisiti di indipendenza previsti dal TUF e dal Codice di Corporate Governance. Co-optation of a Director Cernusco Lombardone (LC), September 24, 2026 – The Board of Directors of Technoprobe S.p.A., a company listed on Euronext Milan and leader in the design and production of probe cards (the " Company " or "Technoprobe "), announces that today it appointed Mr. Geoffrey Duff Baldwin as a Director of the Company by co-optation, pursuant to Article 2396-undeces of the Italian Civil Code, subject to the opinion of the Nomination and Remunerations Committee and with the approval of the Board of Statutory Auditors.
The newly appointed Director will remain in office until the next Shareholders’ Meeting.
The Board of Directors also verified that Mr. Geoffrey Duff Baldwin meets the integrity and professional requirements prescribed by applicable regulations and that he does not meet the independence requirements set forth in the Italian Consolidated Law on Finance (TUF) and the Corporate Governance Code.
