- a company listed on Euronext Milan, Euronext STAR Milan segment - met today to approve, inter alia, the Consolidated Half -
Year Financial Report as at 30 June 2026.
Approval of the half -year financial report as at 30 June 2026 Against a macroeconomic and geopolitical backdrop that remains characterised by high levels of uncertainty and volatility, attributable to ongoing international and trade tensions, during the first half of 2026, the Biesse Group (the ‘ Group ’) continued to implement initiatives aimed at strengthening its innovation process, as well as its sales and service structures, which are considered key strategic drivers for achieving the objectives set out in the 2026 –2028 Strategic Plan.
The half -year continued to show pressure on volumes and margins, in light of which the Group maintained a prudent approach to the management of costs, investments and liquidity.

‘During the first half of the year, no concrete signs of a recovery in demand have yet emerged, which continues to remain at overall weak levels. In an environment still signed by uncertainty, the Group will continue to adopt an approach based on prudent management and financial discipline, with a constant focus on operational efficiency and cost control.
At the same time, we will continue to maintain the organisational and commercial flexibility needed to promptly seize any market opportunities and respond effectively to the evolving competitive

Comment by Deputy CEO, CFO and IR Stefano Porcellini “Demand in 2026 remains weak and is expected to stay so through the end of the financial year, particularly in the glass and stone technologies markets. In the wood segment, Biesse is outperforming its main European competitors, recording slight growth in a declining market, largely thanks to the performance of the Lines business (Biesse Technic).
In the short term, we also expect a significant contribution from the launch of the new B/On digital ecosystem, supported by the recent acquisition of Orchestra S.r.l. . This evolution will allow us to provide increasingly advanced tools to optimize and simplify our customers' production processes.
We are working to ensure that we are ready to seize the first tentative signs of a market recovery, continuing to invest in products and services that make a real difference for our
customers."

Consolidated results achieved by the Group in the first half of 2026:
• Consolidated net revenues € 311.1 million ( -3.6% compared to HY 2025) , at constant exchange rates , the decrease would have been limited to -1,5% ;
• Adjusted EBITDA € 17.3 million, equal to +5.6% of consolidated net revenues (5.0% in H Y 2025);
• Adjusted EBIT € 5.8 million, equal to 1.8% of consolidated net revenues ( -0.7% in H Y 2025);
• EBIT € 4.8 million, equal to 1.5% of consolidated net revenues ( -
2.1% in H Y 2025);
• Net result of € 0.2 million (compared with a net loss of -€ 7.1 million in H Y 2025).
Order book
At the end of the first half of 2026, the Biesse Group's order backlog stood at € 173.2 million, down 7.6% compared to December 2025 (€ 187.4 million). This change reflects the growth in turnover in June and a slight slowdown in order intake (primarily glass and stone), which, despite the current market context, remained at overall good levels during the half -year.
Breakdown of revenues From the geographic perspective, Group sales are distributed into the following geographic areas as at 30 June 2026:
• EMEA 64.5% (61.1% as at 30 June 2025);
• AMERICAS 23.4% (23.6% as at 30 June 2025);
• APAC 12.1% (15.2% as at 30 June 2025).

Net Financial Position The Biesse Group's net financial position as of 30 June 2026, excluding the effects of IFRS 16, was negative by € 19.6 million, a decrease of € 21.1 million compared to 31 December 2025, when it was positive by € 1.5 million.
The change during the period was mainly due to the increase in net operating working capital (+€ 18.6 million), almost entirely due to the usual seasonal increase in inventories. This trend is expected to gradually recover in the second half of the year.
The remaining portion of the change is attributable to investments made in tangible and intangible fixed assets, only partially offset by the cash flows generated by the positive results achieved at the operating level.
Capital Situation
Group net equity as of 30 June 2026: equal to € 226.2 million.
Net Invested Capital as of 30 June 2026: equal to € 268.1 million.
Net Operating Working Capital as of 30 June 2026: equal to € 86.3 million.

Further resolutions of the Board of Directors In order to reflect the latest regulatory developments in the field of market abuse, the Board of Directors also resolved to approve updates to the following internal regulations:
- Internal Dealing Regulation : revised, among other things, to align it with the amendments introduced by CONSOB Resolution No. 23979 of 14 May 2026 to Article 152 -quinquies.1 of the Regulation adopted by CONSOB Resolution No. 11971 of 14 May
1999;
- Market Abuse Regulation , adapting its rules and application measures to the provisions introduced by Regulation (EU) 2024/2809 (so -called Listing Act) and the related national implementing decree (Legislative Decree No. 86/2026).
The updated regulations will be made available to the public within the legal terms on the Company's website at www.biesse.c om, Governance and Investors / Corporate Governance area.
