Conapto Holding AB (the "Company" or "Conapto") announce that its parent company Conapto Group Holding II AB (the "Parent") has secured a new bridge financing (the "Bridge Facility") for the purpose of, among other things, refinancing the Parent's existing SEK 150,000,000 senior secured callable fixed-rate bonds maturing in March 2027 (ISIN: SE0028001164) (the "2026 Bonds"). Furthermore, the Parent intends to draw down on the Bridge Facility and loan the Company a portion of the proceeds from the Bridge Facility to fund certain capital expenditure payments within the Group, which will result in a breach of the terms and conditions of the 2026 Bonds as the Parent, pursuant to Clause 12.4 (Financial Indebtedness) of the terms and conditions of the 2026 Bonds, may not incur debt under the Bridge Facility for the purposes of funding capital expenditures.
Nordic Trustee & Agency AB (publ), being the agent under the 2026 Bonds (the "Agent"), has conditionally waived the breach under the terms and conditions, subject to the Parent, in accordance with an unconditional redemption notice expected to be distributed on or about 28 September 2026 pursuant to Clause 9.3 (Voluntary total redemption (Call Option)) of the terms and conditions of the 2026 Bonds (the "Redemption Notice"), depositing into an escrow account (the "Escrow Account") an amount equal to the Call Option Amount (as defined in the terms and conditions of the 2026 Bonds), together with accrued but unpaid interest in respect of all outstanding 2026 Bonds up until the relevant redemption date.
The Escrow Account and all amounts standing to its credit will be pledged in favour of the Agent, acting on behalf of the holders of the 2026 Bonds. The amounts deposited into the Escrow Account will be applied towards payment of the redemption amount on the relevant redemption date to be specified in the Redemption Notice.
