The right to appoint members to the Shareholders’ Nomination Board lies with those four shareholders who, based on the Company’s shareholder register maintained by Euroclear Finland Ltd, hold the largest number of votes conferred by all shares in the Company on the first business day of September in the calendar year preceding the next Annual General Meeting.
A group of shareholders may agree to appoint a common representative to the Nomination Board, in which case the holdings of the group members shall be aggregated. Shareholders Risto Laakkonen, Antti Partanen, and Pertti Heininen have agreed to appoint a common representative.
The four largest shareholders thus determined are Keijo Haavikko, the above-mentioned group of shareholders, Finnish Industry Investment Ltd (Tesi), and Ilmarinen Mutual Pension Insurance Company.
These shareholders have appointed the following members to the Shareholders’ Nomination Board:
In addition, Kari Kauniskangas, Chair of the Board of Directors of GRK, serves on the Nomination Board as an expert member without the right to participate in decision-making.
The Nomination Board has elected Keijo Haavikko as Chair of the Nomination Board.
