Communiqué from the Extraordinary General Meeting of Climeon AB (publ) on 29 September
The shareholders of Climeon AB (publ) held an Extraordinary General Meeting at the company’s premises in Kista on 29 September 2026. The following is a summary of the main resolutions adopted at the meeting.
Resolution on a directed issue of Class B shares to subscribers subject to Chapter 16 of the Swedish Companies Act
In accordance with the shareholder’s proposal, the Extraordinary General Meeting resolved on a new issue of up to a total of 539,500 Class B shares at a subscription price of SEK 2.70 per share, directed to senior executives subject to the special provisions of Chapter 16 of the Swedish Companies Act.
The new Class B shares may be subscribed for by the company’s CEO Lena Sundquist (37,037 Class B shares), CTO Henrik Österman (18,518 Class B shares), Silon AB (owned by Board member Thomas Öström) (296,296 Class B shares), and Board member Olle Bergström (187,649 Class B shares).
All shares were subscribed for and allocated in connection with the Extraordinary General Meeting.
The share issue is being carried out as part of the accelerated bookbuilding procedure relating to a directed share issue comprising up to a total of 18,518,519 Class B shares at a subscription price of SEK 2.70 per share, which was completed and announced on 9 September 2026.
