COMMUNICATION OF CHANGE IN SHARE CAPITAL
DEPOSIT OF CERTIFICATION PURSUANT TO ART. 2444 C.C. AND UPDATED BYLAWS
Milan, July 6, 2026 - Dotstay S.p.A. ("Dotstay" or the "Company"), a company active in the real estate sector as a relocation and property management operator for medium-long term rentals, with shares traded on Euronext Growth Milan - Professional Segment, announces the new composition of the Company's share capital, fully subscribed and paid up, as of today's date following the subscription of newly issued shares resulting from the capital increase, resolved and executed by the Board of Directors of the Company on May 27, 2026 for a maximum of Euro 500,000.00, including premium, through the issuance of a maximum of 277,777 new shares, in exercise of the delegation conferred to it pursuant to Article 2443 of the Civil Code by the extraordinary shareholders' meeting of October 31, 2022 (the "Capital Increase").
In light of the foregoing, 127,777 newly issued ordinary shares have been subscribed, for a countervalue of Euro 229,998.60. In this regard, it is reminded that the remaining maximum of 150,000 new ordinary shares resulting from the Capital Increase may be placed, by the administrative body and in compliance with current regulations, by September 23, 2026.
The certification relating to the execution of the Capital Increase pursuant to art. 2444 of the Civil Code was filed on June 18, 2026 with the Milan Companies Register, together with the new text of the Company's bylaws updated with the new capital. The new text of Dotstay's bylaws has been made available to the public on the Company's website www.investors.dotstay.it, in the section "Governance/Corporate Documentation".
The current composition of the Company's share capital is reported below (fully subscribed and paid up), as resulting from the placement of 127,777 new shares from the Capital Increase, with an indication of the previous share capital:
