Cloudberry Clean Energy ASA - Disclosure of large shareholding

17 August 2026: Reference is made to the stock exchange announcement published 25 June 2026 by Cloudberry Clean Energy ASA (the "Company") regarding the Company entering into a share purchase agreement with Orrön Energy Holding AB ("Orrön") to acquire a majority of its Swedish wind assets and organisation, and the remaining 50% of the Finnish onshore wind farm Metsälamminkangas (the "Transaction").

The Company and Orrön have now received all regulatory approvals included as closing conditions in the Transaction documents and closing of the Transaction is expected to occur in Q3 2026.

As part of the settlement of the purchase price in the Transaction Orrön will receive 124,378,083 shares (the "Consideration Shares") in the Company, subject to any adjustments. Following completion of the Transaction and registration of the Consideration Shares in the Norwegian Register of Business Enterprises, Orrön will own 124,378,083 shares in the Company corresponding to approximately 27.01% of the issued and outstanding shares and votes in the Company as of registration of the new share capital.

Orrön Energy AB, the parent company of Orrön, is listed on Nasdaq Stockholm and is not ultimately controlled by any natural person or legal entity.

Furthermore, Ferd AS' holdings of shares and votes in the Company will, as a result of the Transaction, decrease from 10.55% to 7.70%, and accordingly cross below the notifiable holding threshold set out in section 4-2 of the Norwegian Securities Trading Act of 10%. Ferd AS is ultimately controlled by Johan H.

Andresen.
